Notwithstanding anything in this Agreement to the contrary, in no event shall Buyer be permitted to conduct, or cause to be conducted, any Buyer Inspection at any of the Acquired Station Properties.
Except as disclosed on SCHEDULE 5.8(b)(iv) of the Sellers' Disclosure Letter, each Acquired Station is currently transmitting its broadcast signal, and shall on the Closing Date be transmitting its broadcast signal, at no less than ninety percent (90%) of its maximum authorized power.
Each Licensee has filed with the FCC all material reports or applications (including payment of any fee, fine or forfeiture due to the FCC as of the date hereof) with respect to the FCC Licenses and the relevant Acquired Station.
SCHEDULE 2.1(b) of the Sellers' Disclosure Letter contains a description of the items of Tangible Personal Property (having a replacement cost of not less than $10,000 for each item) that comprise all the tangible personal property used or held for use in connection with the Business or which permit the operation of each Acquired Station as now conducted.
For purposes of clarification, if Affiliate does not elect to add such Acquired Station to this Agreement within such one hundred eighty (180)-day period, then Network shall thereafter have the right to license the transmission of the Service to another broadcast television station or MVPD in such DMA, including on an exclusive basis.
Upon receipt of such notice by Network, the Acquired Station shall be added to this Agreement unless, prior to receipt of Affiliate’s add notice, Network has committed to provide the Service to another Broadcast Television station or MVPD in the same DMA as the Acquired Station.
SCHEDULE 2.1(a) of the Sellers' Disclosure Letter sets forth an accurate list of all Acquired Station Licenses.
Each Party shall use its reasonable best efforts to prepare and execute its respective portion of an application for FCC Consent ("FCC APPLICATION") to assignment of the FCC Licenses from the appropriate Seller to the Purchaser and/or its Designee within five (5) Business Days, and in any event no later than ten (10) Business Days, after execution of this Agreement, and each Seller shall promptly thereafter file the completed FCC Application with the FCC with respect to its Acquired Station.
At Affiliate’s option, Network also shall furnish and install, or reimburse Affiliate for its cost of furnishing and installing, Receiving Equipment for any Acquired Station not transmitting the Service at the time of acquisition by Affiliate, at a cost not to exceed three thousand five hundred dollars ($3,500.00).
For purposes of clarification, with regard to an Acquired Station in a DMA that is not at such time under license by Network to a third party for transmission of the Service, if Affiliate does not elect to add such Acquired Station to this Agreement within such sixty (60) -day period, then Network shall thereafter have the right to license the transmission of the Service to another broadcast television station or MVPD in such DMA, including on an exclusive basis.
