This Agreement is executed by each Acquiring Trust on behalf of its respective Acquiring Funds, and each Acquired Trust on behalf of its respective Acquired Funds.
The undersigned officer of Acquiring Trust, after consulting with its counsel, auditors and tax advisers regarding the meaning of and factual support for the following representations on behalf of Acquiring Fund, hereby certifies and represents that the following statements are true, complete and correct and will be true, complete and correct on the date of the transaction and thereafter as relevant.
The Acquired Fund, as a beneficial owner of the Acquiring Trust, will be entitled to the same limitation of personal liability extended to stockholders of private corporations for profit organized under the General Corporation Law of the State of Delaware.
We note that the Acquired Fund, as a beneficial owner of the Acquiring Trust, may be obligated, pursuant to the Trust Instrument, to (i) pay sales charges in connection with an investment in any series or class, and (ii) pay charges in connection with the redemption of Shares (as defined in the Trust Instrument).
This opinion is furnished by us as counsel to the Acquiring Trust, is solely for the benefit of the Acquiring Trust and its Trustees and officers in connection with the above described acquisition of assets and may not be relied upon for any other purpose or by any other person.
The Acquiring Trust has been duly created and is validly existing in good standing as a business trust under the State of Delaware, and the Trust Instrument is effective to continue the Acquiring Fund as a series of the Acquiring Trust under the Delaware Business Trust Act, 12 Del.
We hereby consent to the filing of this opinion as an exhibit to the Registration Statement, to the references to us in the Prospectus/Proxy Statement included as part of the Registration Statement and to the filing of this opinion as an exhibit to any application made by or on behalf of the Acquiring Trust and the Acquiring Fund or any distributor or dealer in connection with the registration or qualification of the Acquiring Fund or the Shares under the securities laws of any state or other jurisdiction.
In the event that an Acquiring Trust or an Acquired Trust wishes to include one or more series in addition to those originally set forth on Schedules A and B, respectively, the relevant party shall so notify the other party in writing, and, if the other party agrees in writing, such series shall hereunder become an Acquiring Fund or Acquired Fund, as the case may be, and Schedule A or Schedule B, as appropriate, shall be amended accordingly.
As to questions of fact material to our opinion, we have relied (without investigation or independent confirmation) upon the representations contained in the above-described documents and on certificates and other communications from public officials and officers and Trustees of the Acquiring Trust.
Acquiring Fund is a series of the Acquiring Trust, which is registered under the 1940 Act as an open-end management investment company.
