Notwithstanding the foregoing, Rights shall not be issued in respect of any shares of Common Stock issued by the Company after the Shares Acquisition Time if such Rights, upon such issuance, would become null and void pursuant to Section 11(a)(ii).
Prior to the Stock Acquisition Time, the interests of the holders of Rights shall be deemed coincident with the interests of the holders of Common Stock.
