Actual Net Working Capital Amount definition

Actual Net Working Capital Amount means the amount of Net Working Capital as at Completion as set out in the Actual Net Working Capital Statement agreed or determined in accordance with Schedule 5;

Actual Net Working Capital Amount means the Net Working Capital set forth on the Conclusive Statement.

Actual Net Working Capital Amount shall have the meaning set forth in Section 1.5.

• If no such notice is delivered to Buyer by Seller within such period, the Post-Closing Statement and the calculation of the Actual Net Working Capital Amount reflected thereon shall be binding upon the parties hereto.

• Seller may, within fifteen (15) days following receipt of the Post-Closing Statement, provide Buyer with written notice (a “Dispute Notice”) of its disagreement with the calculation of the Actual Net Working Capital Amount reflected on the Post-Closing Statement.

• If, pursuant to Section 2.6(a) above, there is a dispute as to the final determination of the Actual Cash Amount, the Actual Indebtedness Amount, the Actual Net Working Capital Amount or the Actual Capital Expenditures Amount, the Company and the Existing Stockholder shall promptly pay to the other, as appropriate, such amounts as are not in dispute, pending final determination of such dispute pursuant to Section 2.6(a).
