ADC Product means any product containing or comprising a ROR1 reactive Antibody conjugated or fused directly or indirectly with a cytotoxic or cytostatic compound or radionuclide (or any other method of delivering a toxic moiety to a cell using an Antibody). • If a Party becomes aware of any actual or potential claim that the Development, Manufacture or Commercialization of any Project ADC, Derived ADC, Product, Multispecific ADC, Multispecific Product or any component thereof infringes or in the future will infringe the Intellectual Property Rights of any Third Party, such Party will [***] notify the other Parties.

• SGI will have the right to opt-in to development and commercialization of ADC Product Candidates as set forth in Section 4.1.2. • Subject to the provisions of this Agreement, Agensys hereby grants to SGI during the ADC Research Program Term a non-exclusive, royalty-free license under the Agensys Independent Patents, Agensys ADC Patents, Agensys Independent Know-How and Agensys ADC Know-How, solely to enable SGI to perform or have performed its responsibilities under the ADC Research Program with respect to Designated Antigens and associated ADC Product Candidates.

• For each Designated Antibody and/or ADC Product meeting the criteria in the Research Plan, SGI will disclose all SGI Validation Data to the JSC within [***] of the selection of such Designated Antigen by SGI, subject to extension by the JSC.

• The Parties agree that the sum of the following contributions constitute an [equal sharing] by the Parties with respect to each Designated Antibody and ADC Product prior to and including the Preclinical Decision Point therefor.

• SGI will Derive Designated Antibodies and ADC Products that bind specifically to each Designated Antigen and will subject each such Designated Antibody and/or ADC Product to SGI Validation.
