If no Objection Notice is given within such thirty-day period, then (i) the Purchase Price Adjustment Estimate and the Final Indebtedness Schedule shall be final and binding on all parties and the Purchase Price calculated in the Purchase Price Adjustment Estimate shall be deemed for all purposes to be the Purchase Price.
In doing so, the amount of any Federal Income Tax Benefit or cost for the taxable period in which the payment is to be made will be based on the indemnified party's best estimate of such amount, which estimate shall be in writing (an "Adjustment Estimate Notice") and shall include an explanation, in reasonable detail, of the facts and assumptions underlying such estimate.
If an Objection Notice is delivered, Shareholders shall be permitted to take positions which are different from positions taken in the Purchase Price Adjustment Estimate and the Final Indebtedness Schedule as submitted to Buyer, and Buyer agrees that Shareholders shall not be prejudiced by reason of such differences.
Any payment required pursuant to this Section 14(d)(i) shall be made on or before the later of (x) the date on which the applicable indemnification payment is made pursuant to this Agreement or the Distribution Agreement (as applicable), or (y) 10 business days following the date on which the indemnified party receives the Adjustment Estimate Notice.

Based on a Closing Date of February 1, 2011, Seller Pension Plan’s actuary has estimated the Pension Price Adjustment to be $3,136,500.00 (“Pension Price Adjustment Estimate”); if the amount of the Pension Price Adjustment is more than the Pension Price Adjustment Estimate, notwithstanding anything to the contrary in this Agreement, Buyer shall not be required to pay more than $3,150,000 in total pursuant to the Section 6.5.7.
