Examples of Transaction Expenses in a sentence
All Transaction Expenses shall be paid by the Party incurring such Transaction Expenses; provided, that if the Transaction is not consummated, Parent shall pay, or cause to be paid, the Transaction Expenses incurred by each of the Company and Seller; provided, further, that such amount payable by Parent shall not exceed $1,500,000.
Except as set forth on Section 3.6(a) of the Disclosure Schedule, Seller has (a) no Indebtedness, (b) no liability or obligation with respect to any Change of Control Payment and (c) no outstanding Seller Transaction Expenses.
