Examples of Advance Offer in a sentence

  • Additionally, upon consummation or expiration of any Advance Offer, any remaining Applicable Proceeds shall not be deemed Excess Proceeds and the Company may use such Applicable Proceeds for any purpose not otherwise prohibited under this Indenture.

  • Upon completion of any such Asset Sale Offer, the amount of Excess Proceeds shall be reset at zero, but in the case of an Advance Offer, the amount of the Applicable Proceeds the Company is offering to apply in such Advance Offer shall be excluded in subsequent calculations of Excess Proceeds.

Related to Advance Offer

  • Purchase Offer shall have the meaning assigned to such term in Section 2.25(a).

  • Request for Credit Extension means (a) with respect to a Borrowing, conversion or continuation of Committed Loans, a Committed Loan Notice, (b) with respect to an L/C Credit Extension, a Letter of Credit Application, and (c) with respect to a Swing Line Loan, a Swing Line Loan Notice.

  • Advance Notice Date means each date the Company delivers to the Investor an Advance Notice requiring the Investor to advance funds to the Company, subject to the terms of this Agreement. No Advance Notice Date shall be less than seven (7) Trading Days after the prior Advance Notice Date.

  • Incremental Loan Request has the meaning set forth in Section 2.14(a).

  • Term Loan Advance and “Term Loan Advances” are each defined in Section 2.1.1(a).

  • Bona Fide Offer means an actual or genuine offer which includes a specific wage or a training opportunity at a specified place when used to determine whether the parent has refused an offer of training or employment.

  • Permitted Debt Exchange Offer shall have the meaning provided in Section 2.15(a).

  • Drawdown means any principal amount borrowed or to be borrowed (by any means) under the provisions hereof.

  • Term SOFR Advance means an Advance that bears interest at a rate based on clause (a) of the definition of Term SOFR.

  • Extension Offer has the meaning specified in Section 2.15(a).

  • SOFR Advance means an Advance that bears interest at a rate based on Term SOFR.

  • Funding Notice means a notice substantially in the form of Exhibit A-1.

  • Drawdown Request means a notice substantially in the form set out in Schedule 3 (Drawdown Request).
