Aggregate DPP definition

Aggregate DPP means the aggregate of all Deferred Purchase Price amounts payable by the Conduit Purchasers or the Committed Purchasers (as applicable) to the Seller hereunder with respect to the Portfolio Receivables.
Aggregate DPP is defined in Section 2.2(c).

Examples of Aggregate DPP in a sentence

  • To the extent and for so long as such Collections may not be reinvested pursuant to Section 2.2(b) or applied to the repayment of the Aggregate DPP, the Servicer shall hold such Collections in trust for the benefit of the Agent (for the benefit of the Investors).

  • After the Total Investment, all accrued Yield and all accrued Servicing Fee and Custodian fees have been paid in full, and any other amounts payable by the Seller to the Purchasers or any other Indemnified Party or Affected Person hereunder have been paid in full, all additional Collections with respect to the Asset Portfolio shall be paid to Seller in payment of the Aggregate DPP.

  • Subject to Sections 1.3(a)(ii) and 3.1(c)(iv), Servicer shall set aside and hold in trust for the benefit of Administrative Agent on behalf of the applicable Affected Parties, all Collections which, pursuant to clause (ii) of Section 1.3(a), may not be reinvested in the Pool Assets and Related Assets or applied as payment of the Aggregate DPP.

  • Any payment of any amount of Aggregate DPP shall be deemed to be made by each Purchaser Group according to its Ratable Share of such amount.

  • The Aggregate DPP will be payable, and shall be satisfied, on an Investment Date by the Funding Purchasers in the manner set out in Clause 8.3 below.

Related to Aggregate DPP

  • Aggregate Debt means the sum of the following as of the date of determination:

  • Aggregate Value means, with respect to any block of Equity Stock, the product of (i) the number of shares of Equity Stock within such block and (ii) the corresponding Market Price of one share of Equity Stock of such class.

  • Aggregate Cap means (x) with respect to any four fiscal quarter period through and including the four fiscal quarter period ended after the consummation of the Empire Acquisition, 20% and (y) thereafter, 15%, in each case, of Consolidated EBITDA for the relevant Test Period (calculated prior to giving effect to any add-backs subject to the Aggregate Cap).

  • Aggregate Outstanding Amount With respect to any of the Notes as of any date, the aggregate unpaid principal amount of such Notes Outstanding on such date.

  • Aggregate Invested Amount means, as of any date of determination, the sum of the Invested Amounts of all Series of Certificates issued and outstanding on such date of determination.
