Agreed Quality shall have the meaning as defined in clause 7.10. "Approved Facility" means the facility of Dermal at which Dermal manufactures the Products as at the Commencement Date and/or such other manufacturing facility of Dermal and/or of any of its subcontractors that is approved by the parties for the manufacture of the Products from time to time. "Business Day" means a day (other than a Saturday, Sunday or public holiday in England) when banks in London are open for business. "Commencement Date" means 26th November, 2015. "Components of the Device" means the electronic components described in greater detail in Schedule 1 which have been developed and manufactured by Dermal under and in accordance with the Patents. "Good Manufacturing Practice" means that degree of skill, care, diligence, prudence and foresight which would reasonably and ordinarily be expected from a skilled, experienced and reputable manufacturer of consumer products engaged in the same type of undertaking as Dermal. "Group" means in relation to a company, that company, any subsidiary or holding company from time to time of that company, and any subsidiary from time to time of a holding company of that company. "HPELD" means the healthcare professional educational launch date being the beginning of the educational process area meetings which shall commence within 6 months of the grant of CE Xxxx and BSI Xxxx Xxxx (other such other date as the parties may agree in writing).   • However, if said quantity of Bulk Drug Product and/or Insertion Tools is determined by said independent laboratory not to be damaged, non-conforming, otherwise defective or not in compliance with the Agreed Quality, then Orion shall bear all costs of the independent laboratory testing and disposal of such products.

  • The "Agreed Quality Standard" shall include, but not be limited to, the GCP criteria for protocol writing, selection of contract research organisations, trial facility requirements, enrolment of subjects in clinical trials, completion of case record forms and recording, storing and reporting of results and events.

  • In the event that Customer or its Affiliates determine that any shipment of API does not conform to the Agreed Quality, Customer shall give Supplier notice of its rejection thereof (including a sample from the lot analyzed) within thirty (30) days after receipt of such shipment of API.

  • Development activities shall take place in accordance with Agreed Quality Standards.

  • Notwithstanding the foregoing, Customer, its Affiliates and their representative may at any time conduct such an inspection during business hours in connection with any of the following: investigation of any Third Party complaint or injury related to the API; non-compliance of API with Agreed Quality that is either alleged by a Regulatory Authority or has been established; or an inspection by a Regulatory Authority results in findings that are adverse or negative with respect to the API.

  • Orion shall notify Indevus of (a) any such damages, shortage and other reasonably discernible defects discovered by Orion promptly following Orion’s discovery thereof, but in any event within such thirty (30) day period, and (b) any non-conformance with the Agreed Quality discovered by Orion promptly following Orion’s discovery thereof, but in any event within such fifty (50) day period.
