Agreed Quality definition

Agreed Quality shall have the meaning given in clause 13;
Agreed Quality shall have the meaning as defined in clause 7.10. "Approved Facility" means the facility of Dermal at which Dermal manufactures the Products as at the Commencement Date and/or such other manufacturing facility of Dermal and/or of any of its subcontractors that is approved by the parties for the manufacture of the Products from time to time. "Business Day" means a day (other than a Saturday, Sunday or public holiday in England) when banks in London are open for business. "Commencement Date" means 26th November, 2015. "Components of the Device" means the electronic components described in greater detail in Schedule 1 which have been developed and manufactured by Dermal under and in accordance with the Patents. "Defect" or "Defective" shall mean the failure of any Product to conform to the Agreed Quality. "Defective Claim" shall have the meaning as defined in clause 7.4. "Exit Payment" means: 1

Examples of Agreed Quality in a sentence

  • Supplies subject to an Agreed Quality schedule are not covered by this requirement.

  • Notwithstanding the foregoing, Customer, its Affiliates and their representative may at any time conduct such an inspection during business hours in connection with any of the following: investigation of any Third Party complaint or injury related to the API; non-compliance of API with Agreed Quality that is either alleged by a Regulatory Authority or has been established; or an inspection by a Regulatory Authority results in findings that are adverse or negative with respect to the API.

  • In the event that Customer or its Affiliates determine that any lot of Developmental Quantities does not conform to Agreed Quality, Customer shall give Supplier notice of its rejection thereof (including a sample from the lot analyzed) within thirty (30) days after receipt of such lot.

  • Notwithstanding the foregoing, Customer and its representative may at any time have access to the Records during business hours in connection with any of the following: investigation of any Third Party complaint or injury related to the API; non-compliance of API with Agreed Quality that is either alleged by a Regulatory Authority or has been established; or an inspection by a Regulatory Authority results in findings that are adverse or negative with respect to the API.

  • Should said laboratory’s testing determine that delivered Bulk Drug Product and/or Insertion Tools is damaged, non-conforming, or otherwise defective or does not comply with the Agreed Quality, then their decision shall be deemed final as to any dispute over Bulk Drug Product and/or Insertion Tools quality and in such case Indevus shall bear all costs for the independent laboratory testing, and then Orion shall have the right to reject such batch of Bulk Drug Product and/or Insertion Tools.

  • Orion shall notify Indevus of (a) any such damages, shortage and other reasonably discernible defects discovered by Orion promptly following Orion’s discovery thereof, but in any event within such thirty (30) day period, and (b) any non-conformance with the Agreed Quality discovered by Orion promptly following Orion’s discovery thereof, but in any event within such fifty (50) day period.

  • Water quality standards means provisions of state or federal law which consist of a designated use or uses for the waters of the Commonwealth and water quality criteria for such waters based upon such uses. Water quality standards are to protect the public health or welfare, enhance the quality of water and serve the purposes of the State Water Control Law (§ 62.1-44.2 et seq. of the Code of Virginia) and the federal Clean Water Act (33 USC § 1251 et seq.).

  • Ultra Low Sulfur Diesel Fuel means diesel fuel that has a sulfur content of no more than fifteen parts per million.
