Alipay Group definition

Alipay Group means Alipay and its affiliates that provide the Alipay Wallet Services. "Alipay Wallet" has the meaning given in Clause 1.1.

  • The category of “Technical Services” is primarily governed by the Master Technical Services Agreement (details of which are set out in section I(2) of this announcement), which sets out the principal framework upon which the Group may purchase the Relevant Technical Services from the Taobao China Group and the Alipay Group.

  • The Alipay Caps include potential income generated from online activities and services on the Alipay Lottery Channel, calculated with reference to the traffic volume of and the income generated from comparable online platform(s) of the Alipay Group, and having considered that the business cooperation on the Alipay Lottery Channel will still be at a start-up stage and the potential income will be affected by the actual implementation of the cooperation model and the market conditions and reactions thereof.

  • The Parties acknowledge and agree that (a) Alipay IT Company (Z53) and its Subsidiaries have fulfilled all of its and their obligations to perform Software Technology Services pursuant to the 2014 IPLA and (b) following the Amendment Date, neither Alipay IT Company (Z53) nor any of its Subsidiaries shall have any obligation to perform (or to continue to perform) any Software Technology Services or other services for the Alipay Group except as may be otherwise agreed to in writing by the Parties.

  • The Group will solicit at least two other quotations from unrelated third parties for the purchase of the Relevant Technical Services to determine if the purchase price quoted by the Taobao China Group and/or the Alipay Group (as the case may be) is fair and reasonable and comparable to those offered by unrelated third parties.

  • There are in total 9 Subsisting Technical Services Agreements, which cover purchases of three broad categories of technical services by members of the Group from certain members of the Taobao China Group and/or certain members of the Alipay Group (as the case may be), namely (i) payment services, (ii) services relating to online store operation and (iii) server hosting services.

Related to Alipay Group

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • SpinCo shall have the meaning set forth in the Preamble.

  • Participating Company Group means, at any point in time, all corporations collectively which are then Participating Companies.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Group Business Entity means;

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • Distributor / Distribution Company means Company(ies), Firm(s), Sole Proprietorship concern(s), individual(s), Banks or any other Financial Institution appointed by the Management Company under intimation to the Trustee for performing any or all of the Distribution Functions and who are registered with MUFAP as Registered Service Providers. The Management Company may itself also performs the Distribution Function.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • MINORITY BUSINESS ENTERPRISE (MBE means an individual, partnership, corporation or joint venture of any kind that is owned and controlled by U. S. Citizens and residents of Ohio, who are and have held themselves out as members of the following socially and economically disadvantaged groups: Blacks, American Indians, Hispanics and Asians. Only businesses certified by the State of Ohio Equal Opportunity Division in accordance with Section 123.151 of the Ohio Revised Code shall be recognized as being MBE certified within the purpose of this invitation.

  • Minority Group means any of the following racial or ethnic groups:

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.

  • DBS Group means DBS Bank Ltd, its subsidiaries, affiliates, branches and related companies.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • Company Group means the Company and its Subsidiaries.

  • Minority or Women-Owned Business Enterprise means a business enterprise, including a sole proprietorship, partnership or corporation that is:

  • SpinCo Business has the meaning set forth in the Separation and Distribution Agreement.

  • Minority Owned Business Enterprise or "MBE" means a firm awarded certification as a minority owned and controlled business in accordance with City Ordinances and Regulations as well as a firm awarded certification as a minority owned and controlled business by Cook County, Illinois. However, it does not mean a firm that has been found ineligible or which has been decertified by the City or Cook County.

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • Retained Group means the Seller, its subsidiaries and subsidiary undertakings from time to time, any holding company of the Seller and all other subsidiaries or subsidiary undertakings of any such holding company (except members of the Group);

  • Company Group Member means Company or any Company Affiliate;

  • Local Distribution Company or “LDC” means a Person licensed by the OEB as a “Distributor” in connection with a Distribution System.
