Allegion Ordinary Shares means the ordinary shares of Allegion, par value $0.01 per share.

  • No action by any such stockholder shall be necessary for such stockholder (or such stockholder’s designated transferee or transferees) to receive the applicable number of shares (and, if applicable, cash in lieu of any fractional shares) of Allegion Ordinary Shares such stockholder is entitled in the Distribution.

  • Each holder of IR Ordinary Shares on the Record Date (or such holder’s designated transferee or transferees) shall be entitled to receive in the Distribution one (1) share of Allegion Ordinary Shares for every three (3) shares of IR Ordinary Shares held by such stockholder.

  • None of IR, Allegion or the Distribution Agent will guarantee any minimum sale price for the fractional shares of Allegion Ordinary Shares.

  • On the Distribution Date, IR shall cause the Distribution Agent to issue all of the outstanding shares of Allegion Ordinary Shares to holders of IR Ordinary Shares on the Record Date, and to credit the appropriate number of such shares of Allegion Ordinary Shares to book entry accounts for each such holder or designated transferee or transferees of such holder of Allegion Ordinary Shares.

  • Initial Shares means all of the outstanding shares of Common Stock issued prior to the consummation of the Company’s initial public offering.

  • Parent Ordinary Shares means the ordinary shares, no par value per share, of Parent.

  • Common Stock means the common stock of the Company, par value $0.001 per share, and any other class of securities into which such securities may hereafter be reclassified or changed.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Class A Common Shares means class A common shares of a nominal or par value of US$0.00001 each in the capital of the Company having the rights provided for in the Memorandum and Articles of Association, and any shares into which such class A common shares may be converted.

  • Amalco Shares means the common shares in the capital of Amalco;

  • New Common Stock means shares of Common Stock and/or securities convertible into, and/or other rights exercisable for, Common Stock, which are offered or sold in a New Transaction.

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.

  • Reference Shares means, in respect of the exercise of Investor Cash Settlement Rights or Conversion Rights by a Bondholder, the number of Shares (rounded down, if necessary, to the nearest whole number of Shares) determined in good faith by the Calculation Agent by dividing the aggregate principal amount of the Bonds being the subject of the relevant exercise of Investor Cash Settlement Rights or Conversion Rights by the Conversion Price in effect on the relevant Conversion Date, except that where the Conversion Date falls on or after the date an adjustment to the Conversion Price takes effect pursuant to Sections 5.4(a)(i), (ii), (iv), (v), (vi), (viii), (ix) or (x) in circumstances where the relevant Delivery Date falls on or prior to the record date or other due date for establishment of entitlement in respect of the relevant event giving rise to such adjustment, then the Conversion Price in respect of such exercise shall be such Conversion Price as would have been applicable to such exercise had no such adjustment been made.

  • Founders’ Common Stock means all of the shares of Common Stock of the Company acquired by an Insider prior to the IPO for a price of approximately $0.005875 per share;

  • Holdings Common Stock means the common stock of Holdings, par value $.01 per share.

  • Additional Shares of Common Stock means all shares of Common Stock issued (or, pursuant to Subsection 4.4.3 below, deemed to be issued) by the Corporation after the Series B Original Issue Date, other than (1) the following shares of Common Stock and (2) shares of Common Stock deemed issued pursuant to the following Options and Convertible Securities (clauses (1) and (2), collectively, “Exempted Securities”):

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Ordinary Share Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Ordinary Shares or ADSs, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Ordinary Shares or ADSs.

  • Subsidiary Shares shall have the meaning specified in Section 6.3 [Subsidiaries].
