Alternate Site Condition definition

Alternate Site Condition means the existence of any of the following conditions, but only to the extent that such condition(s) are not the result of a failure by SRB to maintain the Stadium in accordance with its contractual obligations to the City under the Lease Assignment Agreement.

Examples of Alternate Site Condition in a sentence

  • In the event of damage, destruction or deterioration of the Arena that results in an Alternate Site Condition, then this Agreement shall remain in full force and effect and the Licensor shall, subject to the terms and conditions set forth in Section 9.1 of the Arena Agreement, repair and restore the Arena to the Required Restoration Condition (as defined in the Arena Agreement).

  • Further, during the existence of the Alternate Site Condition, the Licensor shall (a) perform its obligations in accordance with Section 17.1 and Section 17.2.2 and, to the extent not prevented by the Alternate Site Condition, its other obligations hereunder and (b) seek to provide temporary additional areas in the Arena or elsewhere where the Licensee can perform activities otherwise permitted to be performed by the Licensee hereunder in the damaged areas of the Arena.

  • If any Alternate Site Condition occurs and does not result in termination of this Agreement pursuant to this Article XVII, then the Licensee, at its option and subject to the terms and conditions of the Non-Relocation Agreement, shall have the right to play Home Games in an Alternate Site.

  • Acute condition means a disease, illness or injury that is likely to respond quickly to treatment which aims to return the person to his or her state of health immediately before suffering the disease/ illness/ injury which leads to full recovery.

  • Unsafe condition as used in this clause means the actual or potential exposure of contractor or Government employees to a hazardous material as defined in Federal Standard No. 313, and any revisions thereto during the term of this contract, or any other material or working condition designated by the Contracting Officer's Technical Representative (COTR) as potentially hazardous and requiring safety controls.

  • P.01 Transmission Grade of Service (“GOS”) means a trunk facility provisioning standard with the statistical probability of no more than one call in 100 blocked on initial attempt during the average busy hour.

  • Abnormal Market Conditions means conditions contrary to Normal Markets Conditions e.g. when there is low liquidity in the market or rapid price movements in the market or Price Gaps.

  • Distribution Conditions means, with respect to any Restricted Payment or Restricted Junior Debt Prepayment, the following:

  • Pricing Level IV means any time when (i) no Event of Default has occurred and is continuing, (ii) the Senior Debt Rating is BBB- or higher by S&P or Baa3 or higher by Moody’s and (iii) Pricing Levels I, II and III do not apply.

  • Coverage Test means each of the Class A/B Par Value Test, the Class A/B Interest Coverage Test, the Class C Par Value Test, the Class C Interest Coverage Test, the Class D Par Value Test, the Class D Interest Coverage Test, the Class E Par Value Test and the Class E Interest Coverage Test.

  • Pricing Level V any time when (i) the senior unsecured long term debt rating of the Borrower by (x) S&P is BBB‑ or higher or (y) Xxxxx’x is Baa3 or higher and (ii) none of Pricing Level I, Pricing Level II, Pricing Level III or Pricing Level IV applies.

  • Level IV Status exists at any date if, on such date, (i) the Borrower has not qualified for Level I Status, Level II Status or Level III Status and (ii) the Borrower's Xxxxx'x Rating is Baa3 or better or the Borrower's S&P Rating is BBB- or better.
