Amalgamating Corporations means both of them;
Certificate of Amalgamation means the certificate of amalgamation to be issued by the Director in respect of the Amalgamation;
Amalgamation means the amalgamation of the Amalgamating Corporations as contemplated in this Agreement;
Surviving Corporation has the meaning set forth in Section 2.1.
Articles of Amalgamation means the articles of amalgamation giving effect to the Amalgamation required under the OBCA to be filed with the Director;
Surviving Corporation Common Stock has the meaning set forth in Section 1.7(a).
Surviving Partnership has the meaning set forth in Section 11.2.B(ii) hereof.
Surviving General Partner has the meaning set forth in Section 7.01(d) hereof.
Amalco means the corporation resulting from the Amalgamation.
Surviving Company has the meaning set forth in Section 2.1.
Family farm corporation means a corporation founded for the purpose of farming agricultural land in which the majority of the voting stock is held by and the majority of the stockholders are persons or the spouse of persons related to each other within the fourth degree of kinship, according to the rules of the civil law, and at least one of the related persons is residing on or actively operating the farm, and none of whose stockholders are a corporation. A family farm corporation does not cease to qualify under this division where, by reason of any devise, bequest, or the operation of the laws of descent or distribution, the ownership of shares of voting stock is transferred to another person, as long as that person is within the degree of kinship stipulated in this division.
Corporation means a corporation, association, company, joint-stock company or business trust.
Affiliated Club means a football club affiliated with the League whose application for Membership has been approved in accordance with the Statement of Rules.
Amalgamation Application means the amalgamation application that will be filed with the Registrar under subsection 275(1)(a) of the BCBCA in order to give effect to the Amalgamation, substantially in the form attached hereto as Schedule C;
of a corporation means all classes of Capital Stock of such corporation then outstanding and normally entitled to vote in the election of directors.
New Company has the meaning given to it in Clause 21.3 of the Trust Deed;
Association captive insurance company means a company that insures risks of the member organizations of the association and their affiliated companies.
Constituent corporation means a corporation or a foreign corporation that:
Condominium Corporation means a condominium or strata corporation established under Provincial Legislation.
Surviving Entity has the meaning set forth in Section 2.1.
Owners Corporation means the Owners’ corporation of the Lot and the Development incorporated and registered under the Building Management Ordinance (Cap.344);
Subchapter S Corporation (as defined in the Internal Revenue Code of 1986, as amended), Borrower may pay cash dividends on its stock to its shareholders from time to time in amounts necessary to enable the shareholders to pay income taxes and make estimated income tax payments to satisfy their liabilities under federal and state law which arise solely from their status as Shareholders of a Subchapter S Corporation because of their ownership of shares of stock of Borrower, or (d) purchase or retire any of Borrower's outstanding shares or alter or amend Borrower's capital structure.
Delaware Bank has the meaning specified in the preamble to this Trust Agreement.
Surviving Bank has the meaning set forth in Section 1.03.

Constituent Company means an existing company that is participating in a merger or consolidation with one or more other existing companies;
