Anadarko Covenant Parties definition

Anadarko Covenant Parties means Anadarko and Anadarko’s successors, their affiliates and predecessors (listed on Schedule 1), assigns, and all of their past, present and future directors, officers, managers, members and employees, but only to the extent that the alleged liability of such successor, affiliate, predecessor, assign, director, officer, manager, member, or employee is based on its status as and in its capacity as a successor, affiliate, predecessor, assign, director, officer, manager, member or employee of Anadarko.

  • Parent Parties means Parent and Merger Sub.

  • Relevant Parties means the Agent, each Borrower, each Security Party, the Security Trustee, each Lender and the Swap Bank;

  • Released Entities means released entities as such term is defined

  • Concert Parties means such persons as are deemed to be Acting in Concert with Mediahuis or INM (as the context so requires) pursuant to Rule 3.3 of Part A of the Takeover Rules, and such persons as are Acting in Concert with that party;

  • Contributing Parties has the meaning assigned to such term in the preamble.

  • Partnership Group Member means any member of the Partnership Group.

  • Environmental Activities means the use, generation, transportation, handling, discharge, production, treatment, storage, release or disposal of any Hazardous Materials at any time to or from any portion of the Premises or located on or present on or under any portion of the Premises.

  • Environmental Activity means any activity, event or circumstance in respect of a Contaminant, including, without limitation, its storage, use, holding, collection, purchase, accumulation, assessment, generation, manufacture, construction, processing, treatment, stabilization, disposition, handling or transportation, or its Release, escape, leaching, dispersal or migration into the natural environment, including the movement through or in the air, soil (land surface or subsurface strata), surface water or groundwater;

  • Excluded Entities has the meaning set forth in Section 2.2(b)(iv).

  • Parent Related Parties means each of Parent, Merger Sub, any of their respective former, current or future equityholders, controlling Persons, limited or general partners, managers, members, Affiliates, directors, officers, employees, agents, attorneys, stockholders, assignees or Representatives.

  • Parent Guarantors means the Company, Holdings I, Holdings II, Holdings III, Holdings IV and Holdings V.

  • Initial Guarantors shall have the meaning set forth in the preamble.

  • Covenants means the covenants set forth in Section 4 of this Agreement.

  • Guarantor Subsidiaries has the meaning set forth in the Recitals to this Agreement.
