Covenants definition

Covenants means the covenants set forth in Section 4 of this Agreement.
Covenants. The Cash Manager hereby covenants with and undertakes to each of the Mortgages Trustee, Funding and the Security Trustee that without prejudice to any of its specific obligations hereunder: (a) it will exercise all due skill, care and diligence to the performance of its obligations and the exercise of its discretions hereunder; (b) it will comply with any proper directions, orders and instructions which the Mortgages Trustee, Funding or the Security Trustee may from time to time give to it in accordance with the provisions of this Agreement and, in the event of any conflict, those of the Security Trustee shall prevail; (c) it will obtain and keep in force all licences, approvals, authorisations and consents which are necessary in connection with the performance of the Cash Management Services and prepare and submit all necessary applications and requests for any further approval, authorisation, consent or licence required in connection with the performance of the Cash Management Services; (d) it will not knowingly fail to comply with any legal requirements in the performance of the Cash Management Services; (e) it will make all payments required to be made by it pursuant to this Agreement on the due date for payment thereof for value in the specified currency on such day without set-off (including, without limitation, in respect of any fees owed to it) or counterclaim; and (f) it will not without the prior written consent of the Security Trustee amend or terminate any of the Transaction Documents save in accordance with their terms.
Covenants means the covenants, conditions, restrictions, assessments, charges, servitudes, liens, reservations and easements set forth herein.

  • You acknowledge and agree that as a result of your employment with the Company, your knowledge of and access to Confidential Information (as defined below), and your relationships with the Company’s customers and employees, you would have an unfair competitive advantage if you were to engage in activities in violation of the Covenants.
