The Standard Terms and Conditions set forth in Annex 1 attached hereto are hereby agreed to and incorporated herein by reference and made a part of this Assignment and Assumption as if set forth herein in full.
Each Participant has identified in Annex 1 to this Consortium Agreement certain of its Background that it is willing to grant Access Rights to, if any, and has also indicated, where relevant, whether the Access Rights to specific Background are subject to legal restrictions or limits.
All Foreground developed before the accession of the new Participant shall considered to be Background listed in Annex 1 with regard to said new Participant.
