API Materials means software development kits, sample code, software templates or other material, and any related Documentation made available by UiPath for use of the UiPath API within the scope of this Agreement.

API Materials means any application programming interfaces and related documentation licensed hereunder which is made available to Client in connection with Client’s license to the Software, if any. “Affiliates” means any entity controlling, controlled by, or under common control with the referenced entity, where the term “control” means the possession, direct or indirect, of the power to direct or cause the direction of the management and policies of an entity, whether through the ownership of voting securities, by contract, or otherwise. We reserve all rights not expressly granted herein and, except as expressly granted in this Section 1, no right or license is granted hereunder, express or implied or by way of estoppel, to any technology or intellectual property rights. As between the parties, we retain all right, title, and interest in and to the Software and Service and all copies and derivative works thereof, which rights include, but are not limited to, patent, copyright, trademark, trade secret, and all other intellectual property rights.

• You may authorize Developers to access Confidential Information and Your Materials through the Selling Partner APIs and the API Materials only through APIs documented and communicated by us in accordance with any applicable Selling Partner API Specifications.

• You are solely responsible for authorizing others to access the Selling Partner APIs on your behalf and taking your own steps to maintain appropriate security, protection, and backup of the Confidential Information, customer personal data and/or Your Materials processed pursuant to your access to the Selling Partner APIs and the API Materials, including any of the above you have disclosed to Developers in accordance with this Agreement, and as an independent controller of customer personal data.

• You may authorize Developers to access your Materials through the Selling Partner APIs and the API Materials only through APIs documented and communicated by us in accordance with any applicable Selling Partner API Specifications.

• For the avoidance of doubt, except to the extent expressly prohibited by the license governing any API Materials that are Public Software, all of the non-license provisions of this Agreement will apply.

More Definitions of API Materials

API Materials means the application programming interfaces (“APIs”) and associated tools and Documentation we make available for use with the Products, including sample code, software libraries, command line tools, data integration code, templates, and configuration files.

API Materials means any and all of the API, the API Key, and the Specifications (including any copies, portions, extracts and derivatives thereof) and any related materials (excluding the API Marks) made available by or on behalf of Philips to Client pursuant to this Agreement or otherwise in connection with the API.

API Materials means all information made available by the Bank in respect of and/or through an API, including:- (a) API descriptions; (b) all technical documentation and operations information relating to an API; (c) all details of the parameters for calls and responses from and to an API; (d) all security materials; (e) all user guides, test scripts and any other documentation provided by the Bank to facilitate use of an API; and (f) any other software code or information made available by the Bank in relation to an API, whether through the Bank of APIs Portal or otherwise, as amended by the Bank from time to time;

API Materials means any Materials we make available in connection with the Platform Services API, including APIs, documentation, specifications, software libraries, software development kits, and other supporting Materials, regardless of format.

API Materials means all information made available by the Bank in respect of and/or through an API, including:- (a) API descriptions; (b) all technical documentation and operations information relating to an API; (c) all details of the parameters for calls and responses from and to a particular API; (d) all security materials; (e) all user guides, test scripts and any other documentation provided by the Bank to facilitate use of the API; (f) all developer comments and forum content relating to the relevant API; and (g) any other software code or information made available by the Bank in relation to an API, whether through the Bank of APIs Portal or otherwise, as amended by the Bank from time to time;
