  • In the event of an Underwritten Offering pursuant to a Demand Registration, the Apollo Investor Group (in consultation with other Holders participating in such Underwritten Offering) shall select the managing underwriter(s) to administer such Underwritten Offering; provided that the choice of any such managing underwriter(s) not listed on Schedule I shall be subject to the consent of the Company, which consent may be withheld in the Company’s sole discretion.
