Arena Indemnitees definition

Arena Indemnitees has the meaning set forth in Section 11.1.

Examples of Arena Indemnitees in a sentence

• The Indemnitor shall not settle any Third Party Claim without the prior written consent of the Indemnitee, not to be unreasonably conditioned, withheld or delayed, unless the settlement involves only the payment of money by the Indemnitor and does not involve any admission of liability or wrongdoing on the part of any Arena Indemnitees or Eisai Indemnitees, as applicable.

• All policies of insurance shall be in full force and effect with respect to their coverage for any occurrence during appropriate periods contemplated by this Agreement, shall require at least (thirty) 30 days written notice to the DNCC, the City and Arena Company prior to cancellation thereof, and shall include express provisions in which the insurer (a) waives its subrogation rights against, and (b) agrees to defend, the City, the Host Committee, the Arena Indemnitees and the DNCC Indemnitees.

• Notwithstanding anything in this section 20.3 to the contrary, Host Committee shall not be obligated to indemnify, defend or hold harmless the Arena Indemnitees, to the extent such Losses are caused by fraud, gross negligence or willful misconduct of the Arena Indemnitees.

• Notwithstanding anything in this paragraph to the contrary, the DNCC shall not be obligated to indemnify, defend, or hold harmless the City Indemnitees, Host Committee Indemnitees or Arena Indemnitees on account of the consequences of fraud, any negligence, or willful misconduct of the City Company Indemnitees.

• The representations, warranties, agreements, covenants and obligations of Eisai, and the rights and remedies that may be exercised by the Arena Indemnitees, shall not be limited or otherwise affected by or as a result of any information furnished to, or any investigation made by or knowledge of, any of the Arena Indemnitees or any of their Representatives.

• Notwithstanding anything in this paragraph to the contrary, the DNCC shall not be obligated to indemnify, defend, or hold harmless the City Indemnitees, Host Committee Indemnitees or Arena Indemnitees on account of the consequences of fraud, any negligence, or willful misconduct of the City Indemnitees, the Host Committee Indemnitees, or the Arena Indemnities.

• Except as otherwise set forth herein, the maximum aggregate liability of LDA shall be limited to $1,000,000 to all Xxxxx Arena Indemnitees for all Losses.

• The Indemnitor shall not settle any Third Party Claim without the prior written consent of the Indemnitee, not to be unreasonably conditioned, withheld or delayed, unless the settlement involves only the payment of money by the Indemnitor and does not involve any admission of liability or wrongdoing on the part of any Arena Indemnitees or Roivant Indemnitees, as applicable.

• Except as otherwise set forth herein, the maximum aggregate liability of LDA shall be limited to $1,000,000 to all New Arena Indemnitees for all Losses.

• Notwithstanding anything in this section 10.3 to the contrary, Host Committee shall not be obligated to indemnify, defend or hold harmless the Arena Indemnitees, to the extent such Losses are caused by fraud, gross negligence or willful misconduct of the Arena Indemnitees.
