Further, Assignor has, by all necessary action, validly authorized the execution, delivery and performance of this Assignment, each and all of the documents and certificates executed or to be executed and delivered by Assignor in connection herewith, each of the other Assignment Documents and the transactions contemplated hereby and thereby in accordance with the terms hereof and thereof.
This Assignment is made by Assignor in favor of Secured Party to secure irrevocable and unconditional payment and performance of the obligations, whether now existing or hereafter arising, by the Company under the Note and of Assignor under the Assignment Documents, including each and all of the representations, warranties, covenants, obligations, liabilities, indemnities and duties of the Company under the Note (collectively, the “Secured Obligations”).
Assignor has full power and authority to enter into and perform this Assignment, each and all of the documents and certificates executed or to be executed and delivered by Assignor in connection herewith, each of the other Assignment Documents and each and all of the transactions contemplated hereby and thereby in accordance with the terms hereof and thereof.
Assignor shall take, or cause to be taken, all such actions as are necessary to cause the Company and Assignor to mark their respective books and records with a notation that Assignor has assigned and pledged its Ownership Interests to Secured Party pursuant hereto and to keep as a part of such books and records a fully signed copy of this Assignment and each of the other Assignment Documents.
A waiver or release in connection with any one event or any particular right or remedy shall not be construed as a waiver or release of any subsequent event or as a bar to any subsequent exercise of Secured Party’s rights or remedies hereunder, subsequent event or as a bar to any subsequent exercise of Secured Party’s rights or remedies hereunder, under any of the other Assignment Documents, at law or in equity.
