Assignment Documents definition

Assignment Documents shall have the meaning set forth in Section 11.1.3.2.

Examples of Assignment Documents in a sentence

The requesting party shall deliver to the requested party copies of all Assignment Documents executed by the requesting party in the exercise of the power of attorney.
The power of attorney granted to the requesting party is limited and specific to Assignment Documents.
Novartis’ sole obligation with regard to the transfer of the Trademarks listed in Part A of Annex 1 will be to execute the TM Assignment Documents and to assist with related formalities.
At Buyer’s election (and at Buyer’s sole cost and expense, or if completed and recorded following a Material Default or Event of Default, at Seller’s sole cost and expense), Buyer or any nominee or agent of Buyer may complete and record any or all of the Blank Assignment Documents as further evidence of Buyer’s ownership interest in the related Purchased Asset Documents.
To the fullest extent permitted by law, all provisions of this Agreement are hereby deemed incorporated into the Assignment Documents by reference.

Assignment Documents. Defined in Schedule 1-A.

Assignment Documents means the assignment and novation agreements in respect of the Licensed Interest Documents in the agreed form together with any other documents the Parties (acting reasonably) agree are necessary to effect the assignment and transfer of the Interests from the Seller to the Purchaser and release the Seller from contractual liability to third parties with respect to the Interests (including any parent company guarantees or letters of credit required of the Purchaser in support of the Purchaser’s obligations under any of the Licensed Interest Documents);

Assignment Documents means the assignment and novation agreements in respect of the Interests Documents, which shall (to the extent appropriate) be executed as execution deeds in accordance with the Master Deed issued by UKOOA and dated 28 April 2003 together with any other documents the Seller (acting reasonably) considers necessary to effect the assignment and transfer of the Interests to the Purchaser and to release the Seller and its Affiliates from contractual liability to the Relevant Third Parties and any other third parties with respect to the Interests, and shall include any documents the Seller (acting reasonably) considers necessary to effect the transfer of operatorship to the Purchaser or one of its Affiliates;

Assignment Documents means the execution deeds in the form as attached as first annex to Schedule 2 to the Master Deed dated 28 April 2003 in respect of the transfers contemplated under this Agreement, as further detailed in Schedule 6;

Assignment Documents has the meaning set forth in Section 2.6(c) of this Agreement.

Assignment Documents has the meaning assigned to such term in the recitals.
