Assignment Effective Time definition

Assignment Effective Time means the Effective Time, as such term is defined in the Agency Assignment Agreement (as defined in Amendment No. 1).

Assignment Effective Time means the time immediately after the Merger Effective Time.

• Upon the terms and subject to the satisfaction or waiver of the conditions set forth in this Agreement, Sirius LLC will assign to New Sirius, and New Sirius will assume from Sirius LLC, all of Sirius LLC’s right, title, and interest in and obligations with respect to the Sirius Management Agreement at the Sirius Management Agreement Assignment Effective Time.

• The Assignor, the Assignee and ING Bank agree that, on the date to which the Deed of Assignment Effective Time refers, the consideration for the assignment set forth in Clause 2 (Assignment of the IABF Receivables) hereof will be the consideration as agreed in the Valuation Letter and that amount (or the portion thereof due after set-off pursuant to the terms of the Valuation Letter) shall be paid on the date to which the Deed of Assignment Effective Time refers, by ING Bank on behalf of the Assignee.

• Contingent upon the consummation of the Merger and effective as of the Assignment Effective Time, Assignor hereby forever grants, sells, assigns, transfers and delivers to Assignee all of Assignor’s rights, title and interest in and to the Transferred Contracts, and Assignee hereby accepts such assignment and assumes and agrees to pay, discharge or perform, as appropriate, all obligations and liabilities of Assignor under the Transferred Contracts (the foregoing, the “Assignment”).

• Pursuant to and in accordance with the terms and conditions of this Agreement, effective as of the Assignment Effective Time, Assignor hereby conveys, assigns, transfers and delivers to the Assignee all of its rights, obligations, title and interest in and under the Assigned Contracts.

• At the Assignment Effective Time, all references to Assignor or its predecessors (including Old O-I) or to Old O-I Common Stock in the Equity Compensation Plans and Agreements are hereby deemed to be automatically amended to be references to Assignee and to New PublicCo Common Stock, respectively, except where the context clearly dictates otherwise.

• Effective as of the Assignment Effective Time, Assignee hereby accepts the conveyance, assignment, transfer and delivery of all of Assignor’s rights, obligations, title and interest in and under Assigned Contracts and hereby assumes and agrees to pay when due, perform and discharge in accordance with their terms all of the Assumed Liabilities.

• Immediately following the Assignment Effective Time, upon the receipt by (i) the RBC Conduit of the Assigned BTMU Capital from the BTMU Conduit and (ii) the BTMU Conduit and the BTMU Purchaser Agent, as applicable, of the BTMU Settlement Date Payment, the aggregate outstanding Capital of each of the BTMU Conduit and the RBC Conduit shall be as set forth on Schedule II hereto.

• The execution of securities transactions, as of the Assignment Effective Time and thereafter, and we cannot guarantee you an advantageous price when you trade them.

• At the Assignment Effective Time, all references to Assignor or its predecessors (including Old O-I) in the Transferred Contracts are hereby deemed to be automatically amended to be references to Assignee, except where the context clearly dictates otherwise.

• At the Assignment Effective Time, all references to Assignor or its predecessors (including Old O-I) or to Old O-I Common Stock in the Benefit Plans are hereby deemed to be automatically amended to be references to Assignee and to New PublicCo Common Stock, respectively, except where the context clearly dictates otherwise.
