Assignment of Contracts shall have the meaning provided in Section 5.07.
Assigned Contracts has the meaning set forth in Section 2.01(c).
Assumed Contracts has the meaning set forth in Section 2.1(d).
Seller Contracts means all contracts or agreements to which Seller is a party or to which any of its material assets are bound.
Seller Agreements means those agreements between Seller and third parties, including Artists and/or Distributors, wherein Seller is entitled to receive the Percentage Interest of all Assets.
List of Contracts means the list identifying each Contract constituting part of the Trust Corpus, which list (a) identifies each Contract and (b) sets forth as to each Contract (i) the Principal Balance as of the Cutoff Date, (ii) the amount of monthly payments due from the Obligor, (iii) the Contract Rate and (iv) the maturity date, and which list (as in effect on the Closing Date) is attached to this Agreement as Exhibit H.
Representations and Warranties means the representations and warranties mentioned in Clause 4 hereto;
Schedule of Contracts means the list or lists of Contracts attached as Schedule A to this Agreement, which Contracts are being transferred to the Owner Trustee as part of the Trust Estate, which list or lists shall set forth the following information with respect to each such Contract in numbered columns:
IP Assignment a collateral assignment or security agreement pursuant to which an Obligor grants a Lien on its Intellectual Property to Agent, as security for the Obligations.
Assignment and Conveyance Agreement As defined in Subsection 6.01.
Assignment and Conveyance An assignment and conveyance of the Mortgage Loans purchased on a Closing Date in the form annexed hereto as Exhibit 4.
Assignment Agreements The following Assignment, Assumption and Recognition Agreements, each dated as of March 29, 2006, whereby certain Servicing Agreements solely with respect to the related Mortgage Loans were assigned to the Depositor for the benefit of the Certificateholders:
Assigned Contract has the meaning set forth in Section 2.2.
Assignment of Agreements means, with respect to each Individual Property, a first priority Assignment of Management Agreement and Agreements Affecting Real Estate or Amended and Restated Assignment of Management Agreement and Agreements Affecting Real Estate, as applicable, in form and substance satisfactory to Lender, dated as of the Closing Date, from each applicable Borrower, as assignor, to Lender, as assignee, as the same may thereafter from time to time be supplemented, amended, modified or extended by one or more written agreements supplemental thereto.
Transferred Contracts has the meaning ascribed to it in Section 2.1(c).
Purchase Agreement Assignment means that certain Purchase Agreement Assignment [NW ____ _], dated as of the date hereof, between Lessee and Lessor, as the same may be amended, supplemented or modified from time to time, with the form[s] of Consent and Agreement to be executed by the Manufacturer [and the Supplier -- A319's only] attached thereto.
Seller Contract any Contract (a) under which Seller has or may acquire any rights or benefits; (b) under which Seller has or may become subject to any obligation or liability; or (c) by which Seller or any of the assets owned or used by Seller is or may become bound.
Service Contracts means contracts or agreements, such as maintenance, supply, service or utility contracts.
Related Contracts is defined in clause (c) of Section 2.1.
IP Assignment Agreement has the meaning set forth in Section 3.2(a)(iii).
Schedule of Assumed Executory Contracts and Unexpired Leases means the schedule of certain Executory Contracts and Unexpired Leases to be assumed (or assumed and assigned) by the Debtors pursuant to the Plan, as the same may be amended, modified, or supplemented from time to time by the Debtors.
Purchased Contracts has the meaning set forth in Section 2.1.1(a).
Specified Contracts has the meaning set forth in Section 4.13(a).
Assignment of Management Agreement means the Assignment of Management Agreement and Subordination of Management Fees, dated the same date as this Loan Agreement, among Borrower, Lender and Property Manager, including all schedules, riders, allonges and addenda, as such Assignment of Management Agreement may be amended from time to time, and any future Assignment of Management Agreement and Subordination of Management Fees executed in accordance with Section 6.09(d).
Project Contracts means collectively this Agreement, the Land Lease Agreement, the Construction Contract, O&M Contracts (if any) and any other material contract (other than the Financing Documents) entered into or may hereafter be entered into by the Concessionaire in connection with the Project;
Purchaser Warranties shall have the meaning ascribed to the term in Clause 8.1;
