Associated Agreements definition

Associated Agreements means, collectively, the Applicable Operating Agreements, the Secondment Agreement and any other agreements entered into by all Development Parties and any third parties in furtherance of the conduct of Joint Development Operations, and “Associated Agreement” means any of them.

Associated Agreements means the Copyright and Technology Assignment, the Patent Assignment, the Trademark and Service Xxxx Assignment, and the Domain Name Assignment.

Associated Agreements means (i) the Purchase Agreement, (ii) any JOA, (iii) the Standstill, AMI and Transfer Restriction Agreement, (iv) the Reliance Guarantee, (v) the Letter of Credit Agreement, (vi) the Letter of Credit, and (vii) any other documents and instruments entered into in connection with this Agreement.

Examples of Associated Agreements in a sentence

• Subject to the preceding sentence, each Development Party, on behalf of itself and each of its Affiliates, waive any right to recover punitive, special, exemplary and consequential damages, including damages for lost profits, arising in connection with or with respect to this Agreement, the Associated Agreements or the transactions contemplated hereby and thereby.

• SANParks and its advisers, the State and Relevant Authorities shall have no liability whatsoever arising from any of the Associated Agreements, unless SANParks, the State or any Relevant Authority shall have become a signatory to any such Associated Agreement and to the extent indicated in such agreement.

• Subject to the proper enforcement of rights under the Associated Agreements, the Private Party shall not, and shall take all reasonable steps to ensure that other parties, including parties to the Associated Agreements, do not engage in any activity which might conflict with the interests of SANParks, unless such activity is carried out pursuant to the rights granted to the Private Party in terms of this PPP Agreement.

• There are no additional terms, whether consistent or inconsistent, oral or written, which are intended to be part of the parties' understandings which have not been incorporated into this Agreement or the Associated Agreements.

• The Private Party shall, upon the written request of SANParks, and at no cost to SANParks, make available at all times documents which are or were required or brought into existence by the Private Party or supplied to the Private Party from other parties to the Associated Agreements for the purposes of the Project, or which the Private Party is required to prepare in terms of this PPP Agreement.

Associated Agreements has the meaning given to it in the Joint Development Agreement.
