Transactional Agreements definition

Transactional Agreements means: (a) the Agreement; (b) the Assignment and Assumption Agreement; (c) the Voting Agreements; (d) the Credit Agreement; (e) the Patent License Agreement; (f) the Patent Standstill Agreement; and (g) the Stay Orders.

More Definitions of Transactional Agreements

Transactional Agreements means this Agreement and any agreement or document to be executed pursuant to this Agreement.
Transactional Agreements means: (a) this Agreement, (b) the Certificate of Merger, (c) the Surrender Agreements, (d) Letters of Transmittal, (e) the Offer Letters, and (f) the Non-Competition Agreements.
Transactional Agreements shall have the meaning assigned in Section 1.
Transactional Agreements means: (i) the Agreement; (ii) each of the Ancillary Agreements; and (iii) all bills of sale, assignments, business transfer agreements and other agreements delivered or to be delivered in connection with the transactions contemplated by the Agreement.
Transactional Agreements means the Preferred Stock Purchase Agreement (the “Purchase Agreement”) dated January 27, 2004 among the Company and other parties identified therein, the Amended and Restated Investor Rights Agreement (the “Investor Rights Agreement”) of even date herewith among the Company and other parties identified therein, the Amended and Restated Right of First Refusal and Co-Sale Agreement (the “Right of First Refusal Agreement”) of even date herewith among the Company and the parties identified therein, and the Amended and Restated Voting Agreement (the “Voting Agreement”) of even date herewith among the Company and the parties identified therein, each as may be amended in accordance with its terms.
Transactional Agreements means the Agreement and all other documents or agreements contemplated by Section 1.
