Such audits may be performed once in each Calendar Year for the most recent period of 12 full months ending within 60 days of the notice of audit; provided, however, that audits may be conducted more frequently (but no more frequently than once in each Calendar Quarter) if an immediately preceding audit found previously uncorrected net inaccuracies in billing in favor of the Auditing Party having an aggregate value of at least $10,000 for any consecutive 12-month period.
The audit shall be performed by independent certified public accountants selected and paid by the Auditing Party.
