Authorized Affiliate definition

Authorized Affiliate means any of Customer's Affiliate(s) which (a) is subject to the data protection laws and regulations of the European Union, the European Economic Area and/or their member states, Switzerland and/or the United Kingdom, and (b) is permitted to use the Service pursuant to the Agreement between Customer and Okta, but has not signed its own Order Form with Okta and is not a "Customer" as defined under the Agreement.

Authorized Affiliate means Customer's Affiliate(s) which (a) are subject to the data protection laws and regulations of the European Union, the European Economic Area and/or their member states, Switzerland and/or the United Kingdom; (b) are permitted to use the Services pursuant to the Agreement between Customer and Webflow; and (c) have not signed their own Services Agreement with Webflow and are not "Customers" as defined under this DPA.

Authorized Affiliate means any of Customer Affiliate(s) permitted to or otherwise receiving the benefit of the Services pursuant to the Agreement.

Examples of Authorized Affiliate in a sentence

• Each Authorized Affiliate agrees to be bound by the obligations under this Addendum and, to the extent applicable, the Service Agreement.

• For the avoidance of doubt, an Authorized Affiliate is not and does not become a party to the Agreement, and is a party only to this DPA.

• All access to and use of the Services by Authorized Affiliates must comply with the terms and conditions of the Agreement and any violation of the terms and conditions of the Agreement by an Authorized Affiliate shall be deemed a violation by Customer.

• The Parties acknowledge and agree that, by executing the DPA, the Customer enters into the DPA on behalf of itself and, as applicable, in the name and on behalf of its Authorized Affiliates, in which case each Authorized Affiliate agrees to be bound by the Customer’s obligations under this DPA, if and to the extent that Customer Processes Personal Data on the behalf of such Authorized Affiliates, thus qualifying them as the “Controller”.

• The parties acknowledge and agree that, by executing the Agreement, Xxxxxxxx enters into this DPA on behalf of itself and, as applicable, in the name and on behalf of its Authorized Affiliates, thereby establishing a separate DPA between PCS and each such Authorized Affiliate subject to the provisions of the Agreement and this section 10 and section 11.

More Definitions of Authorized Affiliate

Authorized Affiliate means any of Customer's Affiliate(s) which (a) is subject to the data protection laws and regulations of the European Union, the European Economic Area and/or their member states, Switzerland and/or the United Kingdom, and (b) is permitted to use the Services pursuant to the Agreement between Customer and SFDC, but has not signed its own Order Form with SFDC and is not a "Customer" as defined under the Agreement.

Authorized Affiliate means any Affiliate of Client listed in the applicable Cover Sheet and specifically given authorization by Client to use Products and Services under the Agreement;

Authorized Affiliate means any of Customer's Affiliate(s) which (i) is subject to the Data Protection Laws and Regulations of any jurisdiction that requires a data processing agreement between a Controller and a Processor for the Processing of Personal Data under this Agreement , and (ii) is permitted to use the Braze Services pursuant to the Agreement between Customer and Braze but has not signed its own Order Form with Braze.

Authorized Affiliate means an Affiliate that is authorized to use the Software within the License Parameters and is located within the Territory.

Authorized Affiliate means any of Customer's Affiliate(s) which is explicitly permitted to use the Service pursuant to the Agreement but has not signed its own agreement with Hunters and is not a "Customer" as defined under the Agreement.

Authorized Affiliate means any of Controller’s Affiliates which (a) are subject to the data protection laws and regulations of the European Economic Area and/or its member states, the United Kingdom, and Switzerland, (b) are subject to data protection laws and regulations outside of the European Economic Area and/or its Member States, Switzerland, and the United Kingdom (as applicable), and (c) permitted to use the Processor for Processing pursuant to the Agreement.
