Available Cash from Operations definition

Available Cash from Operations means, with respect to each Project, the total cash received by the Fund from the Operations of such Project, less (i) all operating expenses and other cash expenditures attributable to such Project, and (ii) such reserves (including the Salvage Fund) for operating expenses, debt service and other actual or contingent obligations and Liabilities of the Fund as the Manager may determine are necessary or advisable in connection with such Project.
Available Cash from Operations. The total cash received by the Fund from operation of the business in the ordinary course (but excluding any Available Cash Flow from Dispositions and excluding any Investor Capital Contributions), less (i) all operating expenses and other cash expenditures, and (ii) such reserves for operating expenses, debt service and other actual or contingent obligations and liabilities of the Fund as the Manager may determine are necessary or advisable.
Available Cash from Operations means all cash funds of the Company on hand from time to time after reduction for (a) all Company Costs and Expenses that are due and payable as of such date, (b) the Threshold Working Capital Amount and (c) the Capital Expenditure Threshold.

Examples of Available Cash from Operations in a sentence

  • Subject to the terms of this Agreement, the Fund shall make distributions to Shareholders of Available Cash from Operations with respect to each Fiscal Year in the manner and at the time determined by the Manager.

  • The Members shall continue to receive allocation of Net Income and Net Losses and distributions of Available Cash from Operations during the period of liquidation of the Company in the same manner and proportion as though the Company had not dissolved.

More Definitions of Available Cash from Operations

Available Cash from Operations means cash paid to or in the possession of, the Company from whatever source (other than Available Cash From Capital Event) after deducting therefrom (a) all funds necessary to pay for the currently payable expenses incurred in connection with the normal operations of the Company and the Property Companies in accordance with and subject to the terms hereof, (b) the payment of all currently payable debt service, reserve and escrow amounts for all outstanding Loans when and as they become due and payable and/or are required to be reserved or escrowed, (c) the payment of all other currently payable obligations of the Company and the Property Companies to third parties, including, without limitation, obligations in connection with the Assets, and (d) an amount equal to the Working Capital Operating Reserve.
Available Cash from Operations has the meaning set forth in the Existing LLC Agreement.
Available Cash from Operations means cash from any source, other than Net Proceeds from a Capital Event.
Available Cash from Operations is all other Available Cash. Available Cash From Dispositions and Available Cash From Operations are defined in the LLC Agreement and are not defined by and are not the same as similar concepts under generally accepted accounting principles.
