Background Documents definition

Background Documents means the tangible copy of all written and electronic communications between any Person that were involved in claiming rights with respect to the Patents including any patent agent involved in namely: (i) the preparation of the Patents’ application; (ii) the filing of the Patents’ applications; (iii) the registration of the Patents; (iv) the maintenance of the Patents; or (v) any other communication related to the Patents. Notwithstanding Buyer obtaining such Background Documents in accordance with the terms of this Patent Transfer Agreement, the Background Documents shall maintain their confidential and privileged status.
Background Documents has the meaning set forth in Section 4.21 hereof.
Background Documents means the background documents relevant to the Project, which are listed in Appendix F (Background Documents).

Examples of Background Documents in a sentence

  • The Owner may make various Background Documents related to the Project available to the Design-Build Entity, including but not limited to any surveys and other information that describe the Project Site as well as schedule requirements, budget constraints and other criteria, and procurement schedules.

  • Any Background Documents provided are for information only and will not be included as part of the Contract Documents.

  • Design-Build Entity may not rely exclusively on Background Documents to determine the status of soil conditions, except for issues involving Unforeseen and Differing Site Conditions.


More Definitions of Background Documents

Background Documents means the planning and geotechnical reports provided to the Design-Builder and which can be accessed on the Owner website at . Background documents are not part of the Contract Documents.

Related to Background Documents

  • Background Intellectual Property means all Intellectual Property introduced and required by either Party to give effect to their obligations under this Agreement owned in whole or in part by or licensed to either Party or their affiliates prior to the Commencement Date or developed after the Commencement Date otherwise pursuant to this Agreement;

  • Background Intellectual Property Rights means Intellectual Property Rights owned, controlled or furnished by either Party other than Foreground Intellectual Property Rights.

  • Bond Documents means the Bonds, the Indenture, the Loan Agreement, the Remarketing Agreement, the Remarketing Circular, and all amendments and supplements thereto.

  • Project Documents means all documents relating to the Construction Loan, Mortgage Loan and Construction Contract. It shall also include all documents required by any governmental agency having jurisdiction over the Apartment Housing in connection with the development, construction and financing of the Apartment Housing, including but not limited to, the approved Plans and Specifications for the development and construction of the Apartment Housing.

  • Foreground Intellectual Property means all Intellectual Property developed by either Party pursuant to this Agreement;

  • Background IP means all IP and IP Rights owned or controlled by Seller prior to the effective date or outside the scope of this Contract.
