Background Proprietary Information definition

Background Proprietary Information is defined in the 787 Supply Agreement and, with respect to Seller, includes that proprietary information listed on Schedule 1.1B.
Background Proprietary Information means Proprietary Information that is (i) Developed or Controlled by any Capital Member as of the Execution Date, and (ii) is necessary for or useful to the Relevant Purpose.
Background Proprietary Information means any Proprietary Information belonging to a Party which was developed prior to or outside of the SBP Activity.

  • In case either Party discloses any proprietary information or invention of a Third Party to the other Party during the SBP Activity, such proprietary information or invention shall be treated as though it were the Background Proprietary Information or Background Invention, as the case may be, of the disclosing Party and also shall be subject to all restrictions imposed by such Third Party of which the receiving Party has received written notice from the disclosing Party.

  • Each party agrees not to assert any right under such party's Background Patents, Separate Foreground Patents, Background Proprietary Information, Separate Foreground Proprietary Information, Background Copyrights, Separate Foreground Copyrights, Background Works of Authorship or Separate Foreground Works of Authorship against the other party for any activity solely confined to the Development.

  • Background Proprietary Information and Project Proprietary Information conveyed to a party under this Agreement are licensed to the receiving party only for the limited purposes set forth in this Article 23.0. No disclosure of Background Proprietary Information and Project Proprietary Information will be construed as granting (i) a license under any patent, patent application, or copyright, or (ii) any right of ownership in such materials or information.


More Definitions of Background Proprietary Information

Background Proprietary Information means (i) in the case of Purchaser, all Proprietary Information in the possession of Purchaser's Access Division and which Purchaser has a right to disclose and license without payment to a third party which is not Foreground Proprietary Information, and which is transferred to Company pursuant to the technical support referred to in EXHIBIT B, and (ii) in the case of the Company, all Proprietary Information which the Company has a right to disclose and license without payment to a third party which is not Foreground Proprietary Information, and which is transferred to Purchaser pursuant to the technical support referred to in EXHIBIT B.
Background Proprietary Information means information, knowledge, patented or not, copyrighted or not, which (a) has been, or is, acquired, developed or produced by a Party, either before or during the term of this Arrangement including any extensions thereof, but in any case outside the scope of this Arrangement; (b) is provided by a Party (the “Providing Party”) to the other Party (the “Receiving Party”) for the purpose of carrying out this Arrangement and its objectives; (c) is identified in writing by the Providing Party at the time of its disclosure as being confidential or where such information is provided orally, its confidential nature is confirmed in writing by the Providing Party to the Receiving Party within thirty (30) days of its disclosure.

  • Proprietary Information shall have the same meaning as Confidential Information.

  • Confidential Information means any communication or record (whether oral, written, electronically stored or transmitted, or in any other form) provided to or made available to Contractor or that Contractor may create, receive, maintain, use, disclose or have access to on behalf of HHS that consists of or includes any or all of the following:

  • Supplier's Confidential Information means any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, Know-How, personnel and suppliers of the Supplier, including IPRs, together with information derived from the above, and any other information clearly designated as being confidential (whether or not it is marked as "confidential") or which ought reasonably to be considered to be confidential;

  • Contractor's Confidential Information means any information, however it is conveyed, that relates to the business affairs, developments, trade secrets, know-how, Contractor’s Personnel and suppliers of the Contractor, including IPRs, together with all information derived from the above, and any other information clearly designated as being confidential (whether or not it is marked as "confidential") or which ought reasonably to be considered to be confidential, including the Commercially Sensitive Information.

  • Contractor attributional/proprietary information means information that identifies the contractor(s), whether directly or indirectly, by the grouping of information that can be traced back to the contractor(s) (e.g., program description, facility locations), personally identifiable information, as well as trade secrets, commercial or financial information, or other commercially sensitive information that is not customarily shared outside of the company.

  • Buyer Confidential Information has the meaning set forth in Section 6.8(a).

  • Citizens Confidential Information means all information, data, and documentation, whether marked as confidential or not, disclosed to Vendor in the course of this Agreement that is either: (a) Protected under any applicable state or federal law (including Chapter 119, Florida Statutes; Sections 501.171, and 627.351(6), Florida Statutes; Chapter 69O-128, Florida Administrative Code; and, 15 U.S.C. § 6801 et seq.); (b) private information concerning Citizens’ employees or policyholders (including social security numbers, personal health information, personal credit information, banking information, drivers’ license numbers, personal email addresses, personal phone numbers, and home addresses); or, (c) related to any Citizens’ manuals, lists, operating and other systems or programs, business practices or procedures, insurance policies, claimants or claims, or any business, governmental, and regulatory matters affecting Citizens. “Citizens Confidential Information” does not include any information, data or documentation that: (a) is publicly available through no fault of Vendor or Vendor Staff; or, (b) Vendor developed independently without relying in any way on Citizens Confidential Information.

  • Authority's Confidential Information means all Personal Data and any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, know-how, personnel, and suppliers of the Authority, including all IPRs, together with all information derived from any of the above, and any other information clearly designated as being confidential (whether or not it is marked "confidential") or which ought reasonably be considered to be confidential;

  • Confidential System Information means any communication or record (whether oral, written, electronically stored or transmitted, or in any other form) provided to or made available to Grantee; or that Grantee may create, receive, maintain, use, disclose or have access to on behalf of HHSC or through performance of the Project, which is not designated as Confidential Information in a Data Use Agreement.
