Base EBIT definition

Base EBIT means (i) with respect to calculating the Annual Incentive Bonus for the first Employment Year, EBIT for the fiscal year ending December 31, 1997, and (ii) the "Base EBIT" used to calculate the Annual Incentive Bonus for each successive Employment Year shall be determined by increasing the Base EBIT used for calculating the Annual Incentive Bonus for the prior Employment Year by 10%, compounded annually. As used herein, the term "Base Revenues", shall mean (x) with respect to calculating the Annual Incentive Bonus for the first Employment Year, the Revenues for the fiscal year ending December 31, 1997, and (y) the "Base Revenues" used to calculate the Annual Incentive Bonus for each successive Employment Year shall be determined by increasing the Base Revenues used for calculating the Annual Incentive Bonus for the prior Employment Year by 10%, compounded annually.
Base EBIT has the meaning set forth in Section 2.2.4 below.
Base EBIT for each Earn Out Period shall mean (A) for the first Earn Out Period, an amount equal to $5,100,000; and (B) for each subsequent Earn Out Period, calculated on the day immediately after the day of payment of the Contingent Consideration for an Earn Out Period, the greater of (i) $5,100,000; and (ii) the greatest amount of Actual EBIT during any of the previous Earn Out Periods; provided, however, that for purposes of determining the Base EBIT for any Earn Out Period, (A) the Actual EBIT during any previous Earn Out Period may not exceed 125% of the Base EBIT for such Earn Out Period; and (B) if the Actual EBIT for any Earn Out Period is less than $5,100,000, then the Base EBIT for the next Earn Out Period shall be increased by the amount of such deficiency;

  • If the EBIT on the Final Income Statement is less than the Base EBIT, the amount of the Series I Notes above shall be decreased by 4.5 times such deficit.
