Board Governance Actions definition

Board Governance Actions shall have the meaning ascribed thereto in the Certificate.
Board Governance Actions means (a) any action that is in violation of the Corporation's obligations under Article 1 of the Governance Agreement, (b) any action of the Board recommending or effecting any change in the number of directors constituting the entire Board or to the voting rights or classification of members of the Board from the number, rights or classification established herein, (c) the designation or dissolution of any committee of the Board or the delegation of any matter to, or the establishment of or alteration to any rules of conduct for, any such committee, or (d) any appointment or removal of any director to or from any committee of the Board.

  • In addition to the foregoing, the Required Class B Director Approval shall be necessary for the Board to take, cause, permit or authorize any Board Governance Actions.
