Board Trigger Date definition

Board Trigger Date means the first date on which both Commitment Party Directors have been appointed to and are serving on the Board (as such terms are defined in the Commitment Letter Agreement).
Board Trigger Date means the 5% Beneficial Interest Date.

  • From and after the Board Trigger Date, subject to the rights of the holders of any Preferred Stock then outstanding to elect additional directors under specified circumstances, the holders of the Common Stock shall vote together as a separate class with any one or more classes or series of capital stock of the Corporation entitled to vote thereon to elect the directors.

  • OBFR Index Cessation Effective Date means, in relation to an OBFR Index Cessation Event, the date on which the Federal Reserve Bank of New York (or any successor administrator of the daily Overnight Bank Funding Rate) ceases to publish the daily Overnight Bank Funding Rate or the date as of which the daily Overnight Bank Funding Rate may no longer be used;

  • €STR Index Cessation Effective Date means, in respect of an €STR Index Cessation Event, the first date on which €STR is no longer provided by the European Central Bank (or any successor administrator of €STR), as determined by the Issuer and notified by the Issuer to the Calculation Agent;

  • ECB Recommended Rate Index Cessation Event means the occurrence of one or more of the following events:

  • Subsequent Triggering Event means either of the following events or transactions occurring after the date hereof:

  • ECB Recommended Rate Index Cessation Effective Date means, in respect of an ECB Recommended Rate Index Cessation Event, the first date on which the ECB Recommended Rate is no longer provided, as determined by the Issuer and notified by the Issuer to the Calculation Agent;

  • Nomination Date means the twentieth (20th) day of the month preceding the Operating Month.

  • Moody’s Second Trigger Ratings Threshold means, with respect to Party A, the guarantor under an Eligible Guarantee or an Eligible Replacement, (i) if such entity has a short-term unsecured and unsubordinated debt rating from Moody’s, a long-term unsecured and unsubordinated debt rating or counterparty rating from Moody’s of “A3” and a short-term unsecured and unsubordinated debt rating from Moody’s of “Prime-2”, or (ii) if such entity does not have a short-term unsecured and unsubordinated debt rating from Moody’s, a long-term unsecured and unsubordinated debt rating or counterparty rating from Moody’s of “A3”.

  • Delivery Period Termination Date Has the meaning specified in the Related Pass Through Trust Supplement.

  • Covenant Trigger Event shall occur at any time that Availability is less than the greater of (a) $12.5 million and (b) 10% of the Line Cap then in effect. Once commenced, a Covenant Trigger Event shall be deemed to be continuing until such time as Availability equals or exceeds the greater of (i) $12.5 million and (ii) 10% of the Line Cap then in effect for 30 consecutive days.
