Bonus Arrangement definition

Bonus Arrangement means the Executive’s bonus, as provided under the Company’s annual cash incentive compensation plan or program, any applicable employment agreement between the Executive and the Company or as otherwise determined by the Board or the Compensation Committee.
Bonus Arrangement means any annual bonus scheme or other incentive arrangement operated by the Company enabling Employees to receive a cash bonus in respect of a particular financial year based on performance related to the Company, any other member of the Group and/or of the Employee;
Bonus Arrangement means an arrangement whereby the Company agrees to issue a larger allocation of Tokens to the Purchaser if the Purchaser agrees to accept a deferred delivery or distribution of the Tokens following the Effective Date of the SAFT. The longer the Purchaser is willing to delay receipt or distribution of Tokens after the Effective Date of the SAFT, the larger the Bonus (in the form of Tokens) the Purchaser will receive from the Company. For example, if a Purchaser agrees to a delayed delivery or distribution of: (a) six (6) months following the Effective Date, the Purchaser will receive a Bonus of 55 percent (55%), (b) three (3) months following the Effective Date, the Purchaser will receive a Bonus of forty percent (40%) and (c) if there is no delayed delivery or distribution, the Purchaser will receive a Bonus of twenty five percent (25%). In connection with and prior to the issuance of CRNC Tokens by the Company to the Purchaser pursuant to this Section 1(a):

Examples of Bonus Arrangement in a sentence

  • In order to be entitled to a payment pursuant to this Section 4(b), the Executive must have been a party to Incentive Bonus Arrangement at some time during the 12 month period immediately preceding the Change of Control.

  • Any previously earned but unpaid salary through the Executive’s final date of employment with the Company, and any previously earned but unpaid bonus amounts pursuant to any Bonus Arrangement for any completed fiscal year prior to the date of the Executive’s termination of employment.

  • This Agreement shall not amend, terminate or otherwise effect the Bonus Arrangement or the Loan Agreement, each of which shall remain in full force and effect in accordance with their terms.

  • During the Term, the Executive shall be eligible to participate in the Management Incentive Plan of the Company or such other bonus arrangements as the Company may make available to its executive employees (individually and collectively, the "Bonus Arrangement"), in accordance with the terms and conditions of the Bonus Arrangement, as they may exist from time to time.

  • For the purpose of this Agreement, “Pro Rata Calculation” shall mean a pro rata application of Sections 2.1, 2.2, and 2.3 of the Bonus Arrangement, taking into consideration the number of full months worked and the Company’s performance data through the last quarter having ended 45 days or more prior to the Termination Date, notwithstanding the fact that such sections of the Bonus Arrangement may not provide for such pro rata application.

  • Such awards may be in the form of options, restricted shares, SARs, stock sales, stock grants, forgivable loans, long-term bonus arrangements in the form of Exhibit B (the "Bonus Arrangement"), or any other form of long-term compensation, as determined by the Board.

  • In addition to any compensation otherwise payable pursuant to the Executive’s Incentive Bonus Arrangement and the bonus payable under the Corporation’s Quality Performance Bonus Plan (“QPB”), a lump sum cash amount equal to the Executive’s Highest Incentive Bonus and the total QPB paid to Executive during the calendar year immediately preceding the Change Year, multiplied by 3.

  • For the avoidance of doubt, this means that, among other things, the "Supplemental Incentive Bonus Arrangement" set forth in a one page document signed by the Executive on February 28, 2008, which was part of the Offer Letter and which was referred to in Section 4(b) of the Prior Agreement, is terminated and Executive is no longer entitled to receive benefits thereunder, effective January 1, 2010.

  • This Agreement constitutes the entire agreement between you and the Company with respect to the Retention Bonus and supersedes [(a) any and all prior agreements or understandings between you and the Company with respect to the Retention Bonus, whether written or oral, and (b) the Prior Bonus Arrangement] OR [any and all prior agreements or understandings between you and the Company with respect to the Retention Bonus, whether written or oral].

  • All in-scope Contractors and Sub-Contractors will participate in this Incentive Bonus Arrangement and will be required to comply with the basic principles set out in NAECI 19.

Bonus Arrangement means the Special Bonus Opportunity communicated to Ibis employees, pursuant to which a bonus pool of [***] will be payable by Ibis to Ibis Employees in the event the Closing is consummated.

  • Share Compensation Arrangement means any stock option, stock option plan, employee stock purchase plan or any other compensation or incentive mechanism involving the issuance or potential issuance of Shares, including a share purchase from treasury which is financially assisted by the Corporation by way of a loan, guarantee or otherwise;

  • Bonus means the bonus described in the Section 2.3.

  • referral arrangement means any arrangement in which a registrant agrees to pay or receive a referral fee;

  • Bonus Plan means the Company’s management incentive plan or such other annual bonus plan in existence at the applicable time.
