Authorized Amount means $ , the maximum principal amount of the Funding Loan under this Funding Loan Agreement.
Authorized Borrower Representative means a person at the time designated and authorized to act on behalf of the Borrower by a written certificate furnished to the Governmental Lender, the Funding Lender, the Fiscal Agent and the Servicer and containing the specimen signature of such person and signed on behalf of the Borrower by its Borrower Controlling Entity which certificate may designate one or more alternates.
Authorized account means a deposit account of a customer in a bank designated by the customer as a source of payment of payment orders issued by the customer to the bank. If a customer does not so designate an account, any account of the customer is an authorized account if payment of a payment order from that account is not inconsistent with a restriction on the use of that account.
Authorized Control Level RBC means the number determined under the risk-based capital formula in accordance with the RBC instructions;
Foreign Borrowing Base means, as of any date, an amount equal to:
Required Daily Deposit Target Principal Amount means, for any day in a Due Period, (i) if such Due Period is in [the Accumulation Period for the Class C( - ) Notes, the Accumulation Amount], (ii) if such day is on or after the occurrence and during the continuance of a Class C( - ) Adverse Event, the Nominal Liquidation Amount of the Class C( - ) Notes, and (iii) in all other circumstances, zero.
Collateral Principal Amount means on any date of determination (A) the aggregate principal balance of the Portfolio, including the funded and unfunded balance on any Delayed Funding Term Loan or Revolving Loan, as of such date plus (B) the amounts on deposit in the Accounts (including cash and Cash Equivalents) representing Principal Proceeds as of such date minus (C) the aggregate principal balance of all Ineligible Investments as of such date.
Designated Borrower Notice has the meaning specified in Section 2.14.
Proposed Borrowing Base Notice has the meaning assigned to such term in Section 2.07(c)(ii).
Borrowing Date any Business Day specified by the Borrower as a date on which the Borrower requests the relevant Lenders to make Loans hereunder.
Revolving Credit Extension Request shall have the meaning provided in Section 2.14(f)(ii).
Proposed Borrowing Base has the meaning assigned to such term in Section 2.07(c)(i).
New Borrowing Base Notice has the meaning assigned such term in Section 2.07(d).
Domestic Loan Party means any Loan Party organized under the laws of any state of the United States of America or the District of Columbia.
Designated Amount means the lesser of:
Initial Borrowing Date means the date occurring on or after the Effective Date on which the initial Borrowing of Loans occurs.
Borrower Notice means a written notice, in the form of Exhibit A, to be used for each borrowing, repayment of each Advance or termination or reduction of the Facility Amount or Prepayments of Advances.
Domestic Borrowing Base means, at any time of calculation, an amount equal to:
Borrower Agreement shall have the meaning provided such term in Section 3(a) hereof.
Borrowing Tranche means specified portions of Loans outstanding as follows: (i) any Loans to which a LIBOR Rate Option applies which become subject to the same Interest Rate Option under the same Loan Request by the Borrower and which have the same Interest Period shall constitute one Borrowing Tranche, and (ii) all Loans to which a Base Rate Option applies shall constitute one Borrowing Tranche.
Designated Borrower Request and Assumption Agreement has the meaning specified in Section 2.14.
Submitted Amount has the meaning set forth in Section 2.05(a)(v)(C)(1).
Required Daily Deposit Target Finance Charge Amount means, for any day in a Due Period, an amount equal to the Class A Tranche Interest Allocation for the related Distribution Date; provided, however, that for purposes of determining the Required Daily Deposit Target Finance Charge Amount on any day on which the Class A Tranche Interest Allocation cannot be determined because the LIBOR Determination Date for the applicable Interest Accrual Period has not yet occurred, the Required Daily Deposit Target Finance Charge Amount shall be the Class A Tranche Interest Allocation determined based on a pro forma calculation made on the assumption that LIBOR will be LIBOR for the applicable period determined on the first day of such calendar month, multiplied by 1.25.
Borrowing Limit has the meaning set forth in Section 1.1(a)(i).
Revolving Committed Amount shall have the meaning set forth in Section 2.1(a).
Eurocurrency Revolving Facility Borrowing means a Borrowing comprised of Eurocurrency Revolving Loans.
