Borrower Organizational Documents definition

Borrower Organizational Documents means the certificate of formation filed on May 18, 2016 with the office of the Delaware Secretary of State, and the LLC Agreement, each as the same may be amended, supplemented or otherwise modified from time to time in accordance with the Transaction Documents.
Borrower Organizational Documents means (i) the Certificate of Formation of the Borrower filed with the Secretary of State of the State of Delaware; and (ii) the Amended and Restated Limited Liability Company Agreement dated on or about October 6, 2017.
Borrower Organizational Documents means the Certificate of Limited Partnership of the Borrower dated as of November 7, 2016, and the amended and restated limited partnership agreement of the Borrower in effect on the date of this Agreement, as each may be and may from time to time be amended, modified, supplemented or restated.

Examples of Borrower Organizational Documents in a sentence

  • Certified copies of resolutions for the Borrower and the Parent authorizing or ratifying the execution, delivery and performance of each Transaction Document to which it is, or will be, a party, together with certified copies of the Borrower Organizational Documents and in the case of the Parent, a certified copy of its certificate of formation and limited liability company agreement.

  • The Borrower shall make any material amendment to any of the Borrower Organizational Documents without the prior written consent of the Required Lenders, such consent not to be unreasonably withheld.

More Definitions of Borrower Organizational Documents

Borrower Organizational Documents means (i) the Certificate of Formation of the Borrower filed with the Secretary of State of the State of Delaware; and (ii) the Amended and Restated Limited Liability Company Agreement dated on or about January 23, 2018.
Borrower Organizational Documents means the Organizational Documents of any Borrower, in the form delivered to Agent prior to the execution of this Agreement and as such Organizational Documents may be amended from time to time thereafter to the extent permitted by the terms of the Agreement.
