Bulk Licensed Compound definition

Bulk Licensed Compound means the bulk form of the Licensed Compound meeting the Specifications and used to manufacture Licensed Products under this Agreement.

  • Upon receipt of such sample and upon receipt of a shipment of Bulk Licensed Compound, GENE may determine whether the sample and such shipment, respectively, meet the Specifications.

  • GENE shall notify Biosearch of its receipt thereof and pay such invoices within ninety (90) days after receipt of such Bulk Licensed Compound.

  • Upon receipt of a shipment of Bulk Licensed Compound from BioSearch, IntraBiotics may determine whether such shipment meets the specifications.

  • Either Party shall give prior notice to the other of any changes in the specifications for Bulk Licensed Compound that are recommended or required by the regulatory authorities within the Territory.

  • At the request of IntraBiotics, BioSearch shall arrange for IntraBiotics' designated representatives to inspect and visit from time to time the facilities at which Bulk Licensed Compound is manufactured, stored or tested for the purpose of determining that the manufacture of Bulk Licensed Compound complies with the requirements of this Agreement.

  • Licensed Compounds means: (a) Research Program Active Compounds; (b) Novartis Active Compounds; (c) salts, hydrates, solvates, esters, metabolites, intermediates, stereoisomers and polymorphs of Research Program Active Compounds or Novartis Active Compounds; and (d) prodrugs of Research Program Active Compounds or Novartis Active Compounds (any of the foregoing, a “Licensed Compound”).

  • Licensed Product means any pharmaceutical product containing a Licensed Compound (alone or with other active ingredients), in all forms, presentations, formulations and dosage forms.

  • Licensed Antibody means (a) any Licensed Program Antibody and (b) any other Antibody that is a variant, fragment, derivative or other modification of a Licensed Program Antibody, that (i) Targets the Licensed Target, (ii) is made by or on behalf of Celgene or its Affiliates or Sublicensees during the Term in the course of its activities performed under this Agreement (or during the term of the Licensed Program U.S. License Agreement in the course of its activities performed thereunder) and (iii) is claimed (or was claimed in an issued Patent that has subsequently expired) as a composition of matter in a Licensed Program Patent set forth on Schedule 1.46(b), a Prothena Licensed Collaboration Patent set forth on Schedule 1.63, or Joint Program Patent (as defined in the Master Collaboration Agreement) as applicable, or any substitutions, divisionals, continuations, continuations-in-part, reissues, renewals, registrations, confirmations, re-examinations, extensions, supplementary protection certificates and the like of any such Licensed Program Patents, Prothena Licensed Collaboration Patents or Joint Program Patents (as defined in the Master Collaboration Agreement).

  • Diagnostic Product means an assemblage of reagents, including but not limited to reagents packaged in the form of a kit, useful in performing a Licensed Service.
