Business Warranties definition

Business Warranties means each of the Warranties other than the Fundamental Warranties and the Tax Warranties.

Business Warranties means the warranties contained or referred to in Part 2 of Schedule 5;

Business Warranties means the statements set out in Part 2 and Part 3 of Schedule 5, and each a “Business Warranty”;

Examples of Business Warranties in a sentence

• With respect to any Direct Claim and/ or Third Party Claim (an Indemnity Claim) made against the Promoters with respect to Business Warranties in accordance with this Agreement, the Parties hereby agree and confirm that the Indemnified Persons shall assert their rights to claim the Direct Claim Amount and / or the Third Party Claim Amount in accordance with this paragraph 13 of this Schedule.

• Subject to clause14.2 and clause 14.10, the Target agrees with the Bidder (on the Bidder's own behalf and separately as trustee for each of the Bidder Indemnified Parties) to indemnify and keep indemnified the Bidder Indemnified Parties from and against all Losses incurred by the Bidder Indemnified Parties as a result of any breach of any of the Target Business Warranties.

• For avoidance of doubt, it is hereby clarified that nothing in this Article 12.11 shall restrict the rights of the Investor to receive the benefits of the Business Warranties Insurance Policy as set forth in Clause 12.14 of the Investment Agreement.
