Buyer Fundamental Representations definition

Buyer Fundamental Representations means the representations and warranties of Buyer contained in Sections 6.1, 6.2 and 6.7.

Buyer Fundamental Representations means the representations and warranties of Buyer set forth in Section 4.1 (Organization and Related Matters), Section 4.2(a) (Authority; No Violation) and Section 4.5 (No Broker).

• Each of the Buyer Fundamental Representations shall be true and correct in all material respects as of the Closing Date, as if made anew at and as of that date, except with respect to Buyer Fundamental Representations which speak as to an earlier date, which representations and warranties shall be so true and correct at and as of such date.
