Buyback Option definition

Buyback Option means the option of an Eligible Owner under this Class Action
Buyback Option means the Buyback Option Agreement, dated December 22, 2005, executed by CNL Gatlinburg Partnership, LP, CNL Income Partners, LP and Boyne USA, Inc., a copy of which is attached hereto as Schedule 1.1A and which, with respect to the Leased Property and the Personal Property have been assumed by Landlord and by CNL TRS pursuant to an “Assumption of Buyback Option Obligation” of even date herewith.
Buyback Option has the meaning ascribed to such term in Section 11.1.

More Definitions of Buyback Option

Buyback Option shall have the meaning set forth in Section 2.4 of this Agreement.
Buyback Option have the respective meanings specified in the Intellectual Property Transfer Agreement.

Related to Buyback Option

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Incentive Option means an Option which by its terms is to be treated as an “incentive stock option” within the meaning of Section 422 of the Code.

  • Nonstatutory Stock Option means an Option not intended to qualify as an Incentive Stock Option.

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Incentive Stock Option means an Option intended to qualify as an incentive stock option within the meaning of Section 422 of the Code and the regulations promulgated thereunder.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Nonqualified Option means any Option that is not an Incentive Stock Option.

  • Parent Stock Option means any option to purchase Parent Common Stock granted under any Parent Stock Plan.

  • Tandem Appreciation Right means an Appreciation Right granted pursuant to Section 5 of this Plan that is granted in tandem with an Option Right.

  • SAR means a stock appreciation right granted under the Plan.

  • Option means a stock option granted pursuant to the Plan.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Nonqualified Stock Option means an Option that is not an Incentive Stock Option.

  • Company Stock Option means any option to purchase one or more shares of the Company’s Common Stock granted under any of the Company Stock Plans.

  • Appreciation Right means a right granted pursuant to Section 5 of this Plan, and shall include both Tandem Appreciation Rights and Free-Standing Appreciation Rights.

  • Employee Option means an Option granted pursuant to Section 5.

  • Stock Option Plan means any stock option plan now or hereafter adopted by the Company or by the Corporation, including the Corporate Incentive Award Plan.

  • Option Right means the right to purchase Common Shares upon exercise of an option granted pursuant to Section 4 of this Plan.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • NSO means a stock option not described in sections 422 or 423 of the Code.

  • Director Option means an Option granted pursuant to Section 6.

  • Option Grant Date means, as to any Stock Option, the latest of:

  • Ten Percent Owner Optionee means an Optionee who, at the time an Option is granted to the Optionee, owns stock possessing more than ten percent (10%) of the total combined voting power of all classes of stock of a Participating Company within the meaning of Section 422(b)(6) of the Code.

  • NQSO means any Option that is not an ISO.
