Buyer Financial Statement definition

Buyer Financial Statement shall have the meaning set forth in Section 6.5.

Buyer Financial Statement has the meaning set forth in Section 2.2(h)(ii) above.

Buyer Financial Statement has the meaning given to it in Section 5.12.

• The Buyer Financial Statement and the notes thereto fairly present the assets, liabilities and financial condition of Buyer as of the date thereof and the results of operations and cash flows or changes in financial position, as applicable, of Buyer for the period ended on such date, all in conformity with GAAP consistently applied, except as may be noted therein.

• Buyer does not have any material liability or obligation of any nature, whether due or to become due, absolute, contingent, or otherwise, whether direct or indirect, except to the extent reflected as a liability on the Buyer Financial Statements, or material liabilities incurred in the ordinary course of business since the Buyer Financial Statement Date and fully reflected as liabilities on the appropriate books of account.

• Buyer has delivered to Seller copies of its audited financial statements for its last fiscal year for which statements are available ("Buyer Financial Statement").

• EXHIBIT E contains the annual ---------------------------- report Form 10-K-SB, which contains a true, complete and correct copy of Buyer's consolidated Statement of Financial Condition, including all subsidiaries, as of December 31, 1995 and its consolidated statement of income and Statement of Cash Flows, including all subsidiaries for the twelve months ended December 31, 1995 (the "Buyer Financial Statement").
