Buyer’s Proposal definition

Buyer’s Proposal has the meaning given to it in Section 2.2(b).
Buyer’s Proposal has the meaning set forth in Section Section 5.7(b).
Buyer’s Proposal means Buyer’s proposal with respect to the Proposed Transaction dated June 9, 2022 and attached hereto as Exhibit A.

Examples of Buyer’s Proposal in a sentence

  • All terms of the Request for Proposals and the Buyer’s Proposal are hereby made a part of this Agreement and are incorporated herein by reference.

  • In the event of conflicting or inconsistent provisions, the terms of the Request for Proposals and the Buyer’s Proposal shall control.

  • In the case of any inconsistency or conflict between the provisions of this document (including all related schedules and Statements of Work), the Notice or Timber Buyer’s Proposal, the inconsistency or conflict shall be resolved as follows: first, by giving preference to the provisions of this document (including any Statements of Work); second, by giving preference to the provisions of the Proposal; and third, by giving preference to the provisions of the Notice.

  • Once the Buyer submits a Written Corrective Proposal, the Seller has two options: (1) accept all of the terms of the Buyer’s Proposal or (2) negotiate.

  • The dimensional tolerance of any Product Sample will exhibit no more than a +/- 1/32 inch variance from the nominal values designated in Buyer’s Proposal.

  • The squareness tolerance of any Product Sample will exhibit no more than a +/- 1/32 inch variance from the nominal values designated in Buyer’s Proposal.

  • The Buyer covenants not to make any material change in the development concept as set forth in the Buyer’s Proposal (as modified to comply with Planning Board and/or Somerville Board of Zoning Appeal requirements) for twenty (20) years from the Date of Closing.

  • The thickness of any Product Sample will exhibit no more than a +/-10% variance from the nominal values designated in Buyer’s Proposal.

  • If, during the Negotiation Period, no mutually acceptable written agreement is reached or the Seller fails to respond to the Buyer’s Proposal, then the Buyer will have an additional 2 days (unless altered) to decide whether to: (1) accept the Property and agree to the Release or (2) terminate the Agreement and have any deposit monies returned.

  • The following documents, and any amendments thereto existing on the date this Contract is signed by DNR, are incorporated into this Contract by this reference: (1) the Notice of Timber for Sale (Notice) issued on (date issued) and (2) the Timber Buyer’s Proposal of (proposal date) submitted in response to the Notice.

Related to Buyer’s Proposal

  • Contractor’s Proposal means the proposal submitted by the Contractor with the Tender, as modified and accepted by the Employer and included in the Contract. Such documents may include the Contractor’s preliminary design.

  • Transaction Proposal has the meaning specified in Section 8.02(c).

  • Acquisition Proposal has the meaning set forth in Section 5.03(a).

  • Takeover Proposal means any offer or proposal for, or any indication of interest in, a merger or other business combination involving Target or the acquisition of any significant equity interest in, or a significant portion of the assets of, Target, other than the transactions contemplated by this Agreement.

  • Bid Proposal or “Proposal” means the bidder’s proposal submitted in response to the RFP.

  • Alternative Transaction Proposal means any offer, inquiry, proposal or indication of interest, written or oral (whether binding or non-binding and other than an offer, inquiry, proposal or indication of interest by Parent or an Affiliate of Parent), relating to an Alternative Transaction.

  • Company Superior Proposal shall have the meaning set forth in Section 7.4(b).

  • Technical Proposal means the Contractor’s Technical Proposal dated (Technical Proposal date).

  • Transaction Proposals has the meaning specified in Section 8.2(b).

  • Unsolicited proposal means a written proposal for a public-private initiative that is submitted by a private entity for the purpose of entering into an agreement with the department but that is not in response to a formal solicitation or request issued by the department.

  • Superior Proposal has the meaning set forth in Section 5.09(a).

  • Project Proposal is the final and written description of the Project as described in Exhibit A, to be undertaken by Sub-recipient for which the Project Funds is granted and performance is required and monitored pursuant to this PFA.

  • Competing Proposal means a proposal, offer or invitation to the Company, any Party or any of a Party’s Affiliates (other than the Proposal), that involves the acquisition of Control of the Target, a sale of all or a substantial part of the assets of the Target, a restructuring or recapitalization of the Target, or some other transaction that would adversely affect, prevent or materially reduce the likelihood of the consummation of the Transaction with the Parties.

  • Alternative Proposal has the meaning set forth in Section 6.2(b).

  • Proposal means the Technical Proposal and the Financial Proposal.

  • Company Acquisition Proposal means any offer, indication of interest or proposal (other than an offer or proposal made or submitted by or on behalf of Parent or any of its Subsidiaries) contemplating or otherwise relating to any Company Acquisition Transaction.

  • Company Takeover Proposal means (i) any proposal or offer for a merger, consolidation, dissolution, recapitalization or other business combination involving the Company, (ii) any proposal for the issuance by the Company of over 30% of its equity securities as consideration for the assets or securities of another person or (iii) any proposal or offer to acquire in any manner, directly or indirectly, over 30% of the equity securities or consolidated total assets of the Company, in each case other than the Merger.

  • Tax Proposals means all specific proposals to amend the Tax Act publicly announced by or on behalf of the Minister of Finance (Canada) prior to the date hereof.

  • Superior Company Proposal has the meaning set forth in Section 6.02(e).

  • Request for Proposal or “RFP” means all documents, including those attached or incorporated by reference, used for soliciting proposals.

  • Parent Acquisition Proposal means any offer or proposal for a merger, reorganization, recapitalization, consolidation, share exchange, business combination or other similar transaction involving Parent or any of its Subsidiaries or any proposal or offer to acquire, directly or indirectly, securities representing more than 20% of the voting power of Parent or more than 20% of the assets of Parent and its Subsidiaries taken as a whole, other than the Combination contemplated by this Agreement.

  • Buyer’s Representatives has the meaning set forth in Section 6.02.

  • Parent Superior Proposal shall have the meaning set forth in Section 7.4(g).
