Cancellations Performance Sum definition

Cancellations Performance Sum means an amount determined in accordance with paragraph 3.2 of Schedule 7.1 (Performance Benchmarks);
Cancellations Performance Sum means an amount determined in accordance with paragraph 22.3 of Schedule 7.1 (Operational Performance) and payable by the Secretary of State to the Franchisee or the Franchisee to the Secretary of State (as the case may be);
Cancellations Performance Sum means the table set out in Part 1 (Cancellations Benchmark Table) of Appendix 1 (Cancellations Benchmarks and Annual Cancellations Benchmarks) of Schedule 7.1 (Performance Benchmarks); means an amount determined in accordance with paragraph 3.2 of Schedule 7.1 (Performance Benchmarks);

Examples of Cancellations Performance Sum in a sentence

  • In agreeing or determining Change Inputs, no adjustment to Baseline Inputs shall be made to reflect any change in the amount of the Cancellations Performance Sum or the TOC Minute Delay Performance Sum payable by the Secretary of State or to be incurred by the Franchisee arising from the exercise by the Secretary of State of his rights pursuant to paragraph 1.6 of Schedule 7.1 (Performance Benchmarks).

  • Each Cancellations Performance Sum and TOC Minute Delay Performance Sum calculated pursuant to paragraph 22.3 (Tables 10, 10A, 11 and 11A) and paragraph 22.4 (Tables 16, 16A, 17 and 17A) (respectively) in respect of any Franchisee Year payable by the Franchisee to the Secretary of State shall, subject to paragraph 29 (Payments in respect of the Final Franchisee Year), be paid by way of adjustment to Franchise Payments on the Performance Sum Adjustment Date.

Related to Cancellations Performance Sum

  • Cash Performance Award means an Award that is denominated by a cash amount to an Eligible Person under Section 10 hereof and payable based on or conditioned upon the attainment of pre-established business and/or individual Performance Goals over a specified performance period.

  • Energy savings performance contract means a contract under which the rate of payments is based upon energy and operational cost savings and a stipulated maximum energy consumption level over the life of the contract.

  • Key Performance Indicators or “KPIs” means the performance measurements and targets set out in Part 3 of Schedule 1 (Services) of this Framework Agreement;

Long-Term Performance Awards will be based upon the achievement of Company, Subsidiary and/or individual performance factors or upon such other criteria as the Committee may deem appropriate.

  • Qualified Performance-Based Award means an Award intended to qualify for the Section 162(m) Exemption, as provided in Section 11.

  • Capacity Performance Resource means a Capacity Resource as described in Tariff, Attachment DD, section 5.5A(a).

  • Annual performance report means a written appraisal of the teaching staff member's performance prepared by the teaching staff member’s designated supervisor based on the evaluation rubric for his or her position.

  • Performance Compensation Award means any Award designated by the Committee as a Performance Compensation Award pursuant to Section 11 of the Plan.

Each such measure shall be, to the extent applicable, determined in accordance with generally accepted accounting principles as consistently applied by the Company (or such other standard applied by the Committee) and, if so determined by the Committee, and in the case of a Performance Compensation Award, to the extent permitted under Code Section 162(m), adjusted to omit the effects of extraordinary items, gain or loss on the disposal of a business segment, unusual or infrequently occurring events and transactions and cumulative effects of changes in accounting principles. Performance Measures may vary from Performance Period to Performance Period and from Participant to Participant, and may be established on a stand-alone basis, in tandem or in the alternative.

  • Performance Award Formula means, for any Performance Award, a formula or table established by the Committee pursuant to Section 10.3 which provides the basis for computing the value of a Performance Award at one or more levels of attainment of the applicable Performance Goal(s) measured as of the end of the applicable Performance Period.

  • Non-Performing Loans means, with respect to any Bank Subsidiary at any time, the aggregate principal amount (including any capitalized interest) of all nonaccruing loans of such Bank Subsidiary plus the aggregate principal amount of all loans of such Bank Subsidiary that are ninety (90) days or more past due and still accruing minus the Guaranteed Loan Amount of such Bank Subsidiary, in each case at such time.
