Capital Distribution Amount definition

Capital Distribution Amount means an amount of €191,806,537.10 plus $105,380,150.53. “Cash Consideration” means an amount of €455,000,000.
Capital Distribution Amount means 75% of the cumulative Net Profit for the period (taken as one accounting period) from the beginning of the fiscal quarter in which the Issue Date occurs to the last day of the most recent fiscal quarter for which financial statements are available, less the aggregate amount of Permitted Payments made, over the period beginning on the Issue Date and ending immediately before such payment, under clauses (b), (c), (e) and (f) of the definition of Permitted Payments, other than those payments under clause (e) that are funded entirely from the net cash proceeds of the issuance and sale by the Company of Common Stock of the Company and/or another series of Preferred Stock of the Company that is comparable to the Preferred Stock of the Company being retired, repurchased or redeemed.
Capital Distribution Amount means an amount equal to (a) the sum of (i) the cash proceeds available for release to Zegna or any of its Affiliates (including, for the avoidance of doubt, IIAC) from the Trust Account in connection with the Transactions (which amount, for the avoidance of doubt and without duplication, shall be calculated after giving effect to any share redemptions by IIAC Shareholders) and (ii) the proceeds from the Forward Purchase, minus (b) (i) the transaction expenses as set out in the Business Combination Agreement and (ii) any additional amounts to be retained by IIAC as may be agreed in writing by Zegna and IIAC; provided, that IIAC may retain such amounts as may be required as a matter of Cayman Islands law.
