Employee is expected to travel during the Term to the extent reasonably necessary to conduct Carlyle business, contingent upon any worldwide travel restrictions and Employer’s then current policy regarding employee business travel.
The indemnification of Employee hereunder shall be secondary to and in excess of any and all payment to which Employee is entitled pursuant to any insurance policy issued to or for the benefit of Employee, Carlyle and/or any Carlyle portfolio company.
This Agreement will be binding on all successors and assigns of Employer and Carlyle.
