Casualty Prepayment Amount definition

Casualty Prepayment Amount shall have the meaning set forth in Section 2.7.2.
Casualty Prepayment Amount means, with respect to any Insurance Proceeds received after the Earnout Date which the Lender has elected to apply to the obligations under the Note, a portion of the such Insurance Proceeds equal to (i) if the amount of the Insurance Proceeds is less than the Amortized Amount at such time, the product obtained by multiplying (a) the amount of such Insurance Proceeds by (b) the quotient obtained by dividing (1) the Principal Indebtedness at such time by (2) the Amortized Amount at such time or (ii) if the amount of the Insurance Proceeds is greater than or equal to the Amortized Amount at such time, the outstanding Principal Indebtedness at such time; PROVIDED, HOWEVER, that after the Optional Prepayment Date, the Casualty Prepayment Amount shall equal the amount of the Insurance Proceeds but shall not exceed the amount of the Principal Indebtedness.

Casualty Prepayment Amount means, with respect to any Insurance Proceeds which the Lender has elected to apply to the obligations under the Note, a portion of the such Insurance Proceeds (at the time immediately prior to the payment of such amount to Lender) equal to (i) if the amount of the Insurance Proceeds is less than the Amortized Amount at such time, the product obtained by multiplying (a) the amount of such Insurance Proceeds by (b) the quotient obtained by dividing (1) the Principal Indebtedness at such time by (2) the Amortized Amount at such time or (ii) if the amount of the Insurance Proceeds is greater than or equal to the Amortized Amount at such time, the outstanding Principal Indebtedness at such time; PROVIDED, HOWEVER, that after the Optional Prepayment Date, the Casualty Prepayment Amount shall equal the amount of the Insurance Proceeds but shall not exceed the amount of the Principal Indebtedness.
