Prepayment Asset Sale definition

Prepayment Asset Sale means any Disposition by the Borrower or its Restricted Subsidiaries made pursuant to Section 6.07(h).

Prepayment Asset Sale means any non-ordinary course Disposition by the Borrower or its Restricted Subsidiaries made pursuant to Section 6.07(h), (s) or (aa), other than the Disposition of assets acquired after the Closing Date with the proceeds of equity contributions or the issuance of Qualified Capital Stock of the Borrower (in each case, other than contributions by, or issuances to, the Borrower or a Restricted Subsidiary).

Prepayment Asset Sale means a Disposition under Sections 7.05(l), 7.05(m) and 7.05(n).

• The Net Proceeds of any Prepayment Asset Sale occurring prior to the Conversion Date shall be applied as set forth in Section 2.04(b)(iii).

Prepayment Asset Sale has the meaning assigned to such term in clause (a) of the definition of “Prepayment Event”.

Prepayment Asset Sale means any Disposition, to the extent that (a) the aggregate Net Cash Proceeds of all such Dispositions during any fiscal year exceed $25,000,000 and (b) the aggregate Net Cash Proceeds of all such Dispositions during any five fiscal year period exceed $50,000,000; provided, however, that the term “Prepayment Asset Sale” shall not include any transaction permitted (or not expressly prohibited) by Section 6.05 (other than transactions consummated in reliance on Section 6.05(o) and (p)).
