  • Magellan Petroleum Australia is the direct, sole beneficial owner and sole holder of record of 8,247,576 Central Shares.

  • On and subject to the terms and conditions set forth in this Agreement, on the Closing Date, Buyer will purchase from Seller, and Seller will sell and transfer to Buyer, all of the outstanding Central Shares, free and clear of all liens, charges, security interests and other encumbrances.

  • The distance between the injection points must not be greater than the thickness of the part to be injected or 400mm, whichever is less.

  • Common Shares means the common shares in the capital of the Corporation;

  • Equity Shares shall have the meaning attributed to such term in the recitals of this Agreement;
