Certificated Debentures means Debentures in the form of individual certificates in definitive fully registered form and substantially in the form of Schedule 2.2;

Examples of Certificated Debentures in a sentence

  • Such registration shall be noted on any Certificated Debentures by the Trustee or other registrar unless a new Certificated Debenture shall be issued upon such transfer.

  • Any Certificated Debentures tendered for exchange shall be surrendered to the Trustee.

  • All Certificated Debentures surrendered for exchange shall be cancelled.

Related to Certificated Debentures

  • Certificated Notes means Notes that are in the form of Exhibit A attached hereto, other than the Global Notes.

  • Series A Debentures means the Series A 8.98% Junior Subordinated Deferrable Interest Debentures due February 1, 2027 of the Debenture Issuer issued pursuant to the Indenture.

  • Series D Notes is defined in Section 1.

  • Debenture Indenture means the Indenture, dated as of December 1, 1989, between United Parcel Service of America, Inc. and Chemical Bank pursuant to which the 8-3/8% Debentures Due April 1, 2020 were issued, as in effect on the date of this Agreement (without giving effect to any amendment, supplement or other modification thereto, any repayment or covenant defeasance thereunder or any termination thereof), a copy of which is attached as Exhibit F hereto.

  • Definitive Capital Securities means any Capital Securities in definitive form issued by the Trust.

  • Unrestricted Certificated Security means a Certificated Security that is not a Restricted Security.

  • Certificated ADS(s) shall have the meaning set forth in Section 2.13.

  • 2019 Notes has the meaning set forth in the definition of “2018 Exchange Offers”.

  • Global Preferred Security means a Preferred Securities Certificate evidencing ownership of Book-Entry Preferred Securities.

  • Definitive Preferred Securities Certificates means Preferred Securities issued in certificated, fully registered form that are not Global Preferred Securities.

  • 2017 Notes means the aggregate principal amount of US$600,000,000 of 6.25% Guaranteed Senior Notes Due 2017 issued pursuant to the 2017 Note Indenture.

  • Uncertificated Securities means securities as defined in the Securities Services Act which are by virtue of the Companies Act transferable without a written instrument and are not evidenced by a certificate;

  • U.S. Physical Notes has the meaning provided in Section 2.01.
