CF Documents definition

CF Documents means the CF Agreement, any guaranties issued thereunder and the collateral and security documents (and intercreditor agreements) and any amendments, restatements, supplements or other modifications thereto, entered into in connection therewith.
CF Documents means the credit, guaranty and security documents governing the CF Obligations, including, without limitation, the CF Credit Agreement, each Secured Hedge Agreement (as defined in the CF Credit Agreement), each agreement relating to any Cash Management Obligations (as defined in the CF Credit Agreement) and the CF Security Documents.
CF Documents has the meaning given to the termLoan Documents” in the Loan And Security Agreement, dated April 30, 2003, between Borrower and CF.

Examples of CF Documents in a sentence

  • Payments received by GECC from or on account of Borrower shall be applied in the following order: (i) first to satisfy the CF Obligations until (y) all of the CF Obligations have been paid in full, and (z) CF has no obligation to extend any credit to Borrower under any one or more of the CF Documents, the Forbearance Agreements, or otherwise, and (ii) second, and only after the CF Obligations have been paid in full, to satisfy the EF Obligations.

  • Each of Borrower and Parent hereby acknowledges and agrees that any failure by Borrower to perform fully and continuously under this Section 3.5 shall constitute an automatic Event of Default hereunder and under the CF Documents and shall automatically terminate the Extended Forbearance Period, all without the need for any further notice or declaration of any kind by CF.

  • Upon any failure by Borrower or Parent, as applicable, to perform and satisfy fully and to continue to perform and satisfy fully the obligations set forth in Sections 3.1 through 3.13 above, (i) GECC may, in GECC’s sole discretion, without further action, terminate the Extended Forbearance Period and exercise all rights available to it under the GECC Documents, at law, and in equity, and (ii) CF may, in CF’s sole discretion, cease making advances under the CF Documents.

  • From and after the date upon which the Discharge of ABL Obligations shall have occurred (or prior thereto upon the occurrence of the CF Enforcement Date), the CF Collateral Agent or any CF Secured Party may Exercise Any Secured Creditor Remedies under the CF Documents or applicable law as to any Intercreditor Collateral.

  • The CF Collateral Agent represents and warrants for itself to the ABL Collateral Agent that it has the requisite power and authority under the CF Documents to enter into, execute, deliver, and carry out the terms of this Agreement on behalf of itself and the CF Secured Parties and that this Agreement shall be binding obligations of the CF Collateral Agent and the CF Secured Parties, enforceable against the CF Collateral Agent and CF Secured Parties in accordance with its terms.

  • Except as otherwise expressly set forth in Section 2.1(a), Section 2.2(a), Section 2.3, Section 3.5 and Article 6 of this Agreement, the CF Collateral Agent and each CF Secured Party may exercise rights and remedies as an unsecured creditor and as a secured creditor with respect to the Non-Intercreditor Collateral against the Company or any Subsidiary that has guaranteed the CF Obligations in accordance with the terms of the applicable CF Documents and applicable laws.

  • One hundred percent (100%) of the Accounts Proceeds are not being deposited directly into the Lockbox Account(s) by payors of Borrower’s Accounts, and Borrower acknowledges that Borrower’s continuing failure to cause such direct deposits constitutes an additional default under CF Documents.

  • The Consolidation Note (i) shall evidence all of Borrower’s payment obligations under both the CF Documents and the EF Documents, and (ii) be in form, substance, and detail satisfactory to GECC.

  • In the event of an Event of Default hereunder, GECC may exercise any and all remedies available to it under this Agreement, the CF Documents, the Forbearance Agreements, the EF Documents, at law, and in equity.

Related to CF Documents

  • Spin-Off Documents means the Separation and Distribution Agreement, Transition Services Agreement, Tax Matters Agreement, Employee Matters Agreement and any other instruments, assignments, documents and agreements executed in connection with the implementation of the transactions contemplated by any of the foregoing.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Term Documents shall have the meaning assigned that term in the Intercreditor Agreement.

  • Control Documents means the following Contracts to be entered into prior to or on the Closing: (i) the Exclusive Business Cooperation Agreement (独家业务合作协议) entered into by and between Ecommerce Company and the Domestic Company, (ii) the Exclusive Option Agreement (独家购买权协议) entered into by and among Ecommerce Company, the Domestic Company and all of the shareholders of the Domestic Company, (iii) the Proxy Agreement (委托协议) and Power of Attorney (授权委托书) entered into by and the among Ecommerce Company, the Domestic Company and the shareholders of the Domestic Company, (iv) the Equity Pledge Agreement (股权质押协议) entered into by and among Ecommerce Company, the Domestic Company and the shareholders of the Domestic Company and (v) the Spousal Consent (配偶同意函) to be signed by the spouse of each shareholder of the Domestic Company, each as amended from time to time.

  • Privileged Documents means any documents that are Attorney-Client Privilege Documents and/or Work Product Privilege Documents.
